This High-Risk Category Addendum (“Addendum”) forms part of and is incorporated into the Vendor Agreement and Terms of Service of the Find It All platform, operated by Innovara Marketing Inc. (“Innovara”).
This Addendum applies to Vendors operating in regulated, licensed, or higher-risk business categories.
1. PURPOSE OF THIS ADDENDUM
1.1 Certain products and services offered on the Platform may involve increased legal, safety, financial, or regulatory risk.
1.2 This Addendum establishes additional requirements to:
- Protect customers
- Protect vendors
- Protect the platform
- Ensure regulatory compliance
2. HIGH-RISK BUSINESS CATEGORIES
High-Risk Categories may include, but are not limited to:
- Healthcare & wellness services
- Medical, diagnostic, or imaging services
- Mental health & counselling
- Trades & construction
- Electrical, plumbing, HVAC
- Food preparation & catering
- Childcare & eldercare
- Transportation & delivery services
- Financial, legal, or advisory services
- Any service requiring provincial or municipal licensing
Innovara reserves the right to classify additional categories as high-risk.
3. LICENSING & CREDENTIAL REQUIREMENTS
3.1 Vendors operating in High-Risk Categories must maintain:
- Valid professional licenses
- Certifications
- Registrations required by law
3.2 Vendors must ensure credentials:
- Are current and active
- Meet provincial and municipal requirements
3.3 Innovara may request proof of licensing:
- At onboarding
- Periodically
- Upon customer complaint or audit
4. ENHANCED INSURANCE REQUIREMENTS
4.1 Vendors in High-Risk Categories must maintain appropriate and sufficient insurance, which may include:
- Commercial General Liability Insurance
- Professional Liability / Errors & Omissions Insurance
- Product Liability Insurance (where applicable)
- Any industry-specific mandatory coverage
4.2 Insurance must:
- Remain active at all times
- Cover all services or products offered on the Platform
4.3 Failure to maintain required insurance may result in:
- Temporary suspension
- Removal from High-Risk Categories
- Termination of Vendor access
5. COMPLIANCE & AUDITS
5.1 Vendors agree to comply with:
- Federal laws
- Provincial regulations
- Municipal bylaws
- Industry standards
5.2 Innovara may conduct compliance checks including:
- Documentation review
- Category audits
- Listing verification
5.3 Innovara does not guarantee regulatory compliance and is not a regulator.
6. PLATFORM DISCLAIMERS (IMPORTANT)
6.1 Innovara does not:
- Provide professional advice
- Endorse or certify vendors
- Supervise service delivery
6.2 Customers engage vendors at their own discretion, subject to applicable consumer protections.
7. CONTENT & MARKETING RESTRICTIONS
7.1 Vendors in High-Risk Categories may not:
- Make false or misleading claims
- Advertise guarantees or outcomes prohibited by law
- Violate advertising or professional conduct standards
7.2 Innovara reserves the right to:
- Edit or remove non-compliant content
- Restrict promotional features
8. INDEMNIFICATION & LIABILITY
8.1 Vendors operating in High-Risk Categories agree to indemnify and hold harmless Innovara Marketing Inc., Find It All, and their officers, directors, and employees from any claims arising from:
- Services or products provided
- Regulatory non-compliance
- Licensing or insurance failures
8.2 Innovara assumes no liability for outcomes of vendor services.
9. SUSPENSION & TERMINATION
9.1 Innovara may suspend or terminate access to High-Risk Categories if:
- Licensing lapses
- Insurance lapses
- Legal violations occur
- Platform risk increases
9.2 Where reasonable, Vendors will be given an opportunity to cure deficiencies.
10. GOVERNING LAW
This Addendum is governed by the laws of Ontario, Canada, and forms part of the Vendor Agreement and Terms of Service.
11. ACKNOWLEDGMENT
By offering products or services in a High-Risk Category on the Platform, the Vendor acknowledges and agrees to comply with this Addendum.
