Find It All Platform
A Brand Owned & Operated by Innovara Marketing Inc.
Effective Date: Jan 2026
This Agency / Reseller Agreement (“Agreement”) is entered into by and between:
Innovara Marketing Inc., a corporation incorporated under the laws of Canada, having its principal place of business in Ontario (“Innovara”),
and
The marketing agency, consultant, or reseller accepting this Agreement (“Agency”).
Find It All is a brand owned and operated by Innovara Marketing Inc.
1. PURPOSE OF THE AGREEMENT
1.1 This Agreement governs the relationship between Innovara and Agencies authorized to onboard, list, manage, or promote businesses on the Find It All platform.
1.2 Agencies act as independent resellers and service providers, not employees, partners, or representatives of Innovara.
2. AGENCY ROLE & AUTHORIZATION
2.1 Agencies may:
- List businesses on behalf of clients
- Assist clients in claiming and managing listings
- Bundle Find It All listings with their own services
- Earn commissions or discounts as defined by the Platform
2.2 Agencies may not:
- Represent Find It All as their own platform
- White-label or rebrand the Platform
- Modify pricing or platform terms
- Bind Innovara to client agreements
3. CLIENT OWNERSHIP & DATA CLARITY (CRITICAL)
3.1 Clients listed by Agencies remain clients of the Agency, but platform accounts, data, and listings exist within Innovara’s ecosystem.
3.2 Vendor customer data remains owned by the Vendor, not the Agency.
3.3 Innovara retains ownership of:
- Platform infrastructure
- Analytics systems
- CRM frameworks
- AI and automation tools
3.4 Upon termination of an Agency relationship:
- Clients retain access to their listings
- Agencies lose administrative control unless authorized by the client
This prevents hostage or ownership disputes.
4. COMMERCIAL TERMS & PRICING
4.1 Agencies may access:
- Bulk listing plans (Basic / Premium)
- Volume discounts
- Commission-based incentives
4.2 Pricing, discounts, and commissions are:
- Defined within the Agency Dashboard
- Subject to change with notice
4.3 Agencies may charge clients separately for their own services, provided pricing is transparent.
5. PAYMENTS & TAX RESPONSIBILITY
5.1 Innovara processes all platform payments.
5.2 Agency commissions are paid according to published payout schedules.
5.3 Agencies are solely responsible for:
- Reporting income
- Paying applicable taxes
Innovara does not provide tax advice or withholding unless required by law.
6. BRAND USAGE & MARKETING CONDUCT
6.1 Agencies may use Find It All branding only in accordance with provided brand guidelines.
6.2 Prohibited conduct includes:
- Misrepresentation of partnership level
- False claims of exclusivity
- Paid advertising using Innovara trademarks without permission
- Spam or deceptive marketing
7. NON-CIRCUMVENTION & FAIR DEALING
7.1 Agencies agree not to:
- Circumvent platform fees
- Move clients off-platform to avoid commissions
- Replicate or compete with the Platform using proprietary insights
7.2 Innovara agrees to:
- Treat Agency-referred clients fairly
- Maintain transparent reporting
8. COMPLIANCE & CLIENT OBLIGATIONS
8.1 Agencies must ensure clients:
- Comply with Platform policies
- Maintain required insurance (where applicable)
- Meet legal and regulatory obligations
8.2 Innovara reserves the right to suspend listings that violate compliance requirements.
9. TERMINATION (BALANCED & FAIR)
9.1 Either party may terminate this Agreement with notice.
9.2 Innovara may terminate immediately for:
- Fraud
- Misrepresentation
- Repeated policy violations
9.3 Termination does not affect:
- Client access to the Platform
- Earned commissions prior to termination
10. CONFIDENTIALITY
Agencies agree to keep confidential:
- Pricing structures
- Commission models
- Platform analytics
- Business strategies
11. LIMITATION OF LIABILITY
Innovara is not liable for:
- Agency-client disputes
- Loss of Agency business
- Indirect or consequential damages
Total liability is limited to fees paid to the Agency in the prior three (3) months.
12. INDEMNIFICATION
Agencies agree to indemnify Innovara against claims arising from:
- Agency services
- Client misrepresentation
- Policy or legal violations
13. GOVERNING LAW
This Agreement is governed by the laws of Ontario, Canada.
14. ACCEPTANCE
By enrolling in the Agency Program, the Agency agrees to be bound by this Agreement.
