Find It All Platform
A Brand Owned & Operated by Innovara Marketing Inc.
Effective Date: Jan 2026
This Affiliate Agreement (“Agreement”) is entered into by and between:
Innovara Marketing Inc., a corporation incorporated under the laws of Canada, having its principal place of business in Ontario (“Innovara”),
and
The individual or business entity accepting this Agreement (“Affiliate”).
Find It All is a brand owned and operated by Innovara Marketing Inc.
1. PURPOSE OF THE AGREEMENT
1.1 This Agreement governs the relationship between Innovara and Affiliates who promote Find It All and refer businesses, vendors, or customers to the Platform.
1.2 Affiliates act as independent promoters and do not represent Innovara as employees, agents, or partners.
2. AFFILIATE ROLE & SCOPE
2.1 Affiliates may:
- Refer businesses to claim listings
- Refer vendors to create shops
- Promote Find It All using approved materials
2.2 Affiliates may not:
- Misrepresent the Platform
- Offer unauthorized discounts
- Guarantee results
- Represent themselves as Innovara employees
3. COMMISSION STRUCTURE (TRANSPARENT)
3.1 Affiliates earn commissions on qualified referrals tracked through the Platform.
3.2 Commission rates may include:
- A percentage of subscription fees
- A percentage of transaction commissions
- Fixed referral bonuses (where applicable)
3.3 Commission structures are published within the Affiliate Dashboard and may vary by campaign or tier.
3.4 Innovara reserves the right to modify commission structures with reasonable notice.
4. ATTRIBUTION & TRACKING
4.1 Referrals must be tracked through:
- Affiliate links
- Referral codes
- Platform-approved tracking mechanisms
4.2 Innovara is the final authority on referral attribution.
4.3 Self-referrals or fraudulent referrals are strictly prohibited.
5. PAYMENTS & PAYOUTS
5.1 Commissions are calculated monthly.
5.2 Payouts are issued according to the Platform’s payout schedule, subject to:
- Minimum payout thresholds
- Refunds or chargebacks
- Fraud or compliance review
5.3 Affiliates are responsible for providing accurate payment and tax information.
6. TAX RESPONSIBILITY
6.1 Affiliates are solely responsible for:
- Declaring income
- Paying applicable taxes
6.2 Innovara does not withhold taxes on Affiliate payments unless required by law.
7. BRAND & MARKETING GUIDELINES
7.1 Affiliates may use Innovara and Find It All branding only as permitted by provided guidelines.
7.2 Prohibited actions include:
- Trademark misuse
- Paid ads bidding on Innovara brand names without permission
- Spam, misleading, or deceptive marketing
8. NON-CIRCUMVENTION & FAIR DEALING
8.1 Affiliates agree not to:
- Bypass the Platform for direct deals
- Solicit vendors to operate outside Find It All
- Interfere with Innovara’s vendor relationships
8.2 Innovara agrees to:
- Track referrals fairly
- Pay earned commissions in good faith
9. TERMINATION (BALANCED)
9.1 Either party may terminate this Agreement with notice.
9.2 Innovara may terminate immediately for:
- Fraud
- Misrepresentation
- Policy violations
9.3 Upon termination:
- Valid earned commissions will be paid
- No future commissions accrue
10. CONFIDENTIALITY
Affiliates agree to keep confidential:
- Commission structures
- Platform analytics
- Business strategies
11. LIMITATION OF LIABILITY
Innovara is not liable for:
- Loss of expected commissions
- Indirect or consequential damages
Total liability is limited to commissions paid in the prior three (3) months.
12. INDEMNIFICATION
Affiliates agree to indemnify Innovara against claims arising from:
- Affiliate marketing activities
- Misrepresentation or non-compliance
13. GOVERNING LAW
This Agreement is governed by the laws of Ontario, Canada.
14. ACCEPTANCE
By joining the Affiliate Program, the Affiliate agrees to be bound by this Agreement.
