1. Purpose
These Affiliate Program Terms & Conditions (“Affiliate Terms”) govern participation in the Find It All (“FIA”) Affiliate Program.
The FIA Affiliate Program is designed to allow approved participants to promote eligible FIA products or services and earn commission on qualifying referrals according to these Terms.
These Terms explain:
Affiliate eligibility;
approval;
referral attribution;
commission rates;
Tier-Eligible services;
payout rules;
disclosure requirements;
promotional standards;
prohibited conduct;
fraud prevention;
use of FIA branding;
taxation;
suspension; and
termination.
2. Who Operates the Program
Find It All (FIA) is a brand under Innovara Marketing Inc.
Innovara Marketing Inc. owns, operates and manages the FIA Affiliate Program.
References to “FIA,” “Find It All,” “we,” “us” or “our” mean Innovara Marketing Inc. operating the FIA brand.
3. When the Affiliate Program Becomes Operational
Publication of these Terms does not itself mean that:
Affiliate registration;
Affiliate links;
tracking;
dashboards;
commission reporting; or
automated payouts
are currently available to the public.
An Affiliate relationship becomes active only when FIA has:
accepted the participant;
activated the applicable Affiliate arrangement; and
provided or approved the applicable referral method.
FIA should not publicly represent dashboard or automated tracking functionality as live until that functionality is actually operational.
4. Acceptance of These Terms
By applying for, accepting or participating in an activated FIA Affiliate arrangement, the Affiliate agrees to these Terms and applicable FIA policies.
FIA may require electronic acceptance during:
application;
onboarding;
account activation;
link issuance; or
another appropriate program step.
5. Eligibility
An Affiliate must:
have legal capacity to enter into the Affiliate relationship;
provide accurate application information;
use the Program for lawful purposes;
comply with applicable marketing laws;
follow FIA disclosure requirements;
follow FIA Brand rules; and
comply with these Terms.
FIA may restrict participation in particular jurisdictions, industries or promotional channels where necessary.
6. FIA May Review Applications
Submitting an Affiliate application does not guarantee acceptance.
FIA may consider matters such as:
promotional method;
website or social presence;
brand alignment;
intended audience;
reputation;
compliance history;
fraud risk;
legal restrictions; and
other legitimate program considerations.
7. Application Information Must Be Accurate
Applicants must not provide:
false identities;
fake websites;
misleading traffic statistics;
fabricated business information;
fake social profiles;
stolen payment information; or
other materially false application information.
Material misrepresentation may result in rejection or termination.
INDEPENDENT RELATIONSHIP
8. Affiliates Are Independent Participants
An Affiliate is an independent referral and marketing participant.
Participation does not create an:
employment relationship;
partnership;
franchise;
joint venture;
ownership interest;
fiduciary relationship; or
general agency relationship
between the Affiliate and Innovara Marketing Inc.
9. No Authority to Bind FIA
An Affiliate may not:
enter into contracts for FIA;
negotiate unauthorized FIA prices;
promise refunds on FIA’s behalf;
issue guarantees for FIA;
collect money on FIA’s behalf unless expressly authorized;
provide legal commitments for FIA; or
otherwise represent that the Affiliate can bind Innovara Marketing Inc.
10. Affiliate vs Freelancer / Sales Representative
The FIA Affiliate Program is separate from FIA’s freelancer or sales-representative compensation model.
Affiliates generally:
promote FIA independently;
refer potential customers; and
earn eligible referral commissions.
They do not automatically receive the duties, responsibilities or compensation structure of an FIA sales representative.
STANDARD AFFILIATE COMMISSION
11. Standard FIA-Site Commission
Unless an eligible offer is expressly designated otherwise, the standard FIA Affiliate commission is:
4% of the first qualifying sale only.
The commission applies only where the transaction satisfies FIA’s attribution and eligibility rules.
12. First Qualifying Sale Only
The standard 4% commission applies to the first qualifying sale attributed to the Affiliate.
Under the standard program, commission is not repeatedly earned merely because the same customer later:
makes another purchase;
renews a subscription;
renews a service;
pays another recurring invoice; or
purchases another ordinary FIA-site service.
13. No Standard Recurring Commission
Unless FIA expressly designates a particular offer otherwise in writing, the standard Affiliate Program does not pay commission on:
renewals;
repeat purchases;
recurring billing;
subsequent subscription periods; or
later purchases by the same referred customer.
ATTRIBUTION
14. Standard Attribution Window
FIA’s standard Affiliate attribution model uses a:
protected 24-hour first-valid-click window.
15. First-Valid-Click Rule
When a customer generates a valid Affiliate referral, the first valid Affiliate click establishes the protected attribution window.
During that active window, a later Affiliate click should not ordinarily replace the Affiliate who established the valid attribution.
16. Window Duration
The standard attribution window lasts for:
24 hours from the first valid Affiliate click.
The customer must complete the qualifying purchase within that window for the standard referral to qualify, subject to these Terms.
17. After the Window Expires
If the protected 24-hour window expires before the customer completes a qualifying purchase, that attribution expires.
A later valid Affiliate referral may then create a new 24-hour attribution window.
18. Tracking Technology
Where Affiliate tracking functionality is active, FIA may use:
Affiliate links;
referral parameters;
cookies;
referral identifiers;
account attribution;
transaction records; or
other reasonable technical methods
to determine attribution.
19. Privacy Choices
Affiliate attribution remains subject to applicable privacy and cookie requirements.
An Affiliate is not entitled to override a user’s lawful privacy choice merely to preserve commission attribution.
20. Tracking Errors
Tracking technology is not guaranteed to operate perfectly in every circumstance.
Attribution may be affected by factors such as:
cookie deletion;
privacy settings;
blocked technologies;
device changes;
browser restrictions;
incomplete referral URLs;
system errors; or
unsupported customer behaviour.
Where appropriate, FIA may review reliable evidence concerning an attribution issue.
QUALIFYING SALES
21. What Is a Qualifying Sale?
A Qualifying Sale is an eligible transaction that:
is attributed to the Affiliate under FIA’s applicable attribution rules;
involves an eligible FIA offer;
is genuinely made by a customer;
is successfully paid;
is not fraudulent;
is not cancelled or otherwise disqualified;
satisfies applicable offer conditions; and
complies with these Terms.
22. Payment Must Be Realized
Commission is not earned merely because:
a customer clicks a link;
submits a form;
requests a quotation;
receives an invoice;
verbally agrees to purchase; or
enters an unpaid order.
The applicable qualifying payment must be realized by FIA.
23. Commissionable Amount
FIA calculates commission according to the commissionable amount assigned to the eligible offer.
Unless the applicable Affiliate offer states otherwise, amounts that are not ordinarily intended to generate Affiliate commission may include:
sales tax;
refunded amounts;
chargebacks;
separately stated government fees;
non-commissionable pass-through expenses; and
other amounts expressly excluded from the relevant offer.
The applicable Affiliate offer or program system may identify the commissionable basis.
TIER-ELIGIBLE SERVICES
24. Selected Tier-Eligible Services
Certain FIA services may be specifically designated as Tier Eligible.
A Tier-Eligible service may qualify for a higher total Affiliate commission based on the Affiliate’s qualifying Tier-Eligible monthly sales.
Not every FIA product or service is Tier Eligible.
25. Tier Commission Structure
For services expressly designated Tier Eligible, FIA’s current monthly total Affiliate commission structure is:

The maximum standard Tier-Eligible rate is 20%.
26. The 4% Is Included in the Tier
For Tier-Eligible services, the initial 4% is part of the final applicable commission rate.
It is not added on top of the applicable 10%, 15% or 20%.
For example, if the final applicable tier is 15%, the total commission is 15%, not 19%.
27. Initial Tier Commission Credit
For a Tier-Eligible service, the first 4% may be credited after the qualifying customer payment has been realized and approved under FIA’s program rules.
28. Remaining Tier Top-Up
The remaining Tier-Eligible commission becomes eligible only after:
the applicable service reaches its defined completion milestone;
the transaction remains eligible;
the applicable monthly Tier-Eligible sales total is finalized; and
FIA completes any applicable fraud, refund or eligibility review.
29. Month-End Tier Determination
The final Tier-Eligible rate is determined using the qualifying Tier-Eligible sales credited to the Affiliate for the relevant monthly period.
A higher tier achieved for one month does not automatically continue into another month.
30. Standard Sales Do Not Increase Tier Volume
Ordinary standard FIA-site referrals do not increase the Affiliate’s Tier-Eligible monthly total unless FIA expressly identifies the applicable offer as Tier Eligible.
31. How FIA Identifies Tier-Eligible Offers
Where the Affiliate dashboard or Affiliate system is operational, FIA may mark qualifying offers as Tier Eligible.
If FIA uses another approved Affiliate process, Tier eligibility may be identified through the applicable written offer or program communication.
An Affiliate should not assume that a service is Tier Eligible merely because it has a higher price.
EXCLUDED TRANSACTIONS
32. Self-Purchases
Unless FIA expressly authorizes otherwise, an Affiliate does not earn commission by purchasing through their own Affiliate link.
33. Controlled-Business Self-Referrals
Commission is not payable on transactions where the Affiliate uses another business, corporation, account or entity they control primarily to generate Affiliate commission on their own purchase.
34. Fake or Manipulated Transactions
Commission is not payable on:
fabricated transactions;
sham purchases;
fraudulent orders;
collusive transactions;
stolen payment transactions;
artificial transactions created solely to generate commission; or
other manipulated activity.
35. Refunded Transactions
If a qualifying sale is later fully refunded, the associated commission may be:
cancelled;
reversed;
deducted from an unpaid balance; or
recovered where permitted by law and these Terms.
36. Partial Refunds
Where a transaction is partially refunded, FIA may proportionately adjust the associated commission where appropriate.
37. Chargebacks
A transaction subject to:
chargeback;
payment reversal;
fraud reversal; or
other non-payment
may be disqualified from commission.
38. Cancelled Services
Where a service is cancelled before the applicable commission-earning conditions are satisfied, some or all associated commission may become ineligible.
PAYOUTS
39. Target Payout Date
FIA’s standard target payout date is:
the 15th of each month for approved prior-period commissions.
This is a target processing date rather than a guarantee that funds will appear in the Affiliate’s financial account on that exact date.
Banking and payment-provider processing time may apply.
40. Minimum Payout Threshold
The standard minimum payout threshold is:
CAD $50.
Where an approved commission balance is below CAD $50, FIA may carry it forward until the minimum payout threshold is reached.
41. Approved Commissions
Only commissions that have passed applicable:
attribution;
transaction;
payment;
refund;
fraud;
tier;
completion; and
compliance checks
are eligible for payout.
42. Required Payout Information
Affiliates must provide accurate information reasonably necessary for FIA to issue payment.
This may include:
legal name;
business name;
payment details;
address;
tax information where required; and
other reasonably necessary payout information.
43. Payment Processing Delays
FIA may delay a payout where reasonably necessary because of:
incomplete payment information;
unresolved fraud concerns;
refund exposure;
chargeback investigation;
identity questions;
legal restrictions;
payment-provider issues; or
another legitimate compliance matter.
44. Payout Records
Where Affiliate reporting functionality is active, FIA may provide information showing matters such as:
referrals;
qualifying sales;
commission status;
adjustments;
tiers;
paid commission; or
pending commission.
The Affiliate should promptly report suspected material errors.
PROMOTIONAL DISCLOSURE
45. Affiliates Must Disclose Their Relationship
Affiliates must clearly disclose their material relationship with FIA when promoting FIA in circumstances where the relationship could affect how consumers understand the recommendation.
The possibility of earning commission is a material connection.
46. Disclosure Must Be Clear
Affiliate disclosure should be:
clear;
understandable;
prominent;
reasonably close to the promotion; and
visible to the audience before or at the time they encounter the Affiliate recommendation.
47. A Link Alone Is Not Enough
Merely:
using an Affiliate link;
tagging FIA;
placing a discount code;
writing “partner” in a biography; or
including a disclosure hidden among many hashtags
may not adequately disclose the Affiliate relationship.
48. Suggested Affiliate Disclosure
Depending on the promotional format, Affiliates may use clear wording such as:
“Affiliate disclosure: I may earn a commission if you purchase through this FIA link.”
or:
“This is an affiliate link. I may earn a commission from qualifying FIA purchases.”
Equivalent clear wording may be used where appropriate.
49. Platform-Specific Disclosure
The Affiliate is responsible for ensuring disclosure is appropriate for the:
website;
social-media post;
video;
livestream;
email;
message;
podcast; or
other promotional format.
Video or audio content may require disclosure in a form users can reasonably notice.
TRUTHFUL PROMOTION
50. Affiliates Must Be Accurate
Affiliates must not make materially false or misleading statements about FIA.
This includes claims about:
FIA services;
prices;
discounts;
verification;
business outcomes;
availability;
customer results;
government relationships;
commissions;
Marketplace functionality; or
other FIA features.
51. No Unauthorized Guarantees
Affiliates must not guarantee:
rankings;
traffic;
leads;
sales;
revenue;
profit;
business success;
customer acceptance;
grants;
financing;
regulatory approval; or
return on investment
unless FIA expressly provides an authorized guarantee for the particular offer.
52. Do Not Promote Planned Features as Live
Affiliates must distinguish between:
active FIA features; and
planned, beta, future or unavailable features.
An Affiliate must not promote FIA Marketplace transactions, Affiliate dashboards or other functions as operational before FIA has actually activated them.
EMAIL, SMS AND ELECTRONIC MARKETING
53. Affiliate Marketing Must Follow Applicable Law
Affiliates are responsible for complying with laws applicable to their marketing activities.
Where Canada’s Anti-Spam Legislation (“CASL”) applies to an Affiliate’s commercial electronic messages, the Affiliate must satisfy applicable requirements concerning:
consent or another permitted basis;
identification;
contact information;
unsubscribe mechanisms; and
compliance records.
54. FIA Does Not Provide Automatic Marketing Consent
Participation in the FIA Affiliate Program does not provide the Affiliate with a general list of people who have consented to receive the Affiliate’s marketing.
The Affiliate is responsible for establishing the legal basis for their own communications.
55. No Email Harvesting
Affiliates must not scrape or harvest:
FIA user emails;
business emails;
customer information; or
other contact details
for unlawful or unauthorized mass marketing.
56. Unsubscribe Requests
Affiliates must honour applicable unsubscribe requirements.
FIA may suspend Affiliates that repeatedly engage in unlawful or abusive electronic marketing.
PAID ADVERTISING
57. Paid Media
Affiliates may use paid advertising only in accordance with:
these Terms;
FIA promotional guidelines;
advertising-platform rules; and
any campaign-specific restrictions supplied by FIA.
58. FIA Brand Search Advertising
Unless FIA gives written permission, Affiliates must not bid on FIA-owned brand terms in paid search in a manner designed to intercept users already seeking FIA directly.
Restricted terms may include:
Find It All;
FIA;
Innovara Marketing Inc.;
FIA product or program names; and
confusingly similar variations.
59. Misleading Advertisements
Affiliates must not create paid advertisements that falsely appear to be:
an official FIA advertisement;
FIA customer support;
an FIA corporate account;
a government service; or
another official FIA channel
unless FIA has expressly authorized the presentation.
DOMAINS AND SOCIAL ACCOUNTS
60. Domain Names
Affiliates must not register domain names that reasonably create a false impression that the domain is owned or operated by FIA.
61. Social Handles
Affiliates must not create social-media handles that falsely represent themselves as:
FIA’s official account;
official FIA support;
FIA verification;
Innovara Marketing Inc.; or
another official FIA function.
COUPONS AND DISCOUNTS
62. Authorized Offers Only
Affiliates may promote only FIA:
prices;
coupon codes;
discounts;
promotional offers; or
bonuses
that FIA has actually authorized.
63. No Fake Discounts
Affiliates must not invent:
coupon codes;
sale prices;
fake countdowns;
false scarcity;
unauthorized bundles; or
other incentives.
64. Expired Promotions
Affiliates should remove or update expired FIA promotions within a reasonable period after becoming aware that the promotion has ended.
REVIEWS AND TESTIMONIALS
65. Genuine Experience
If an Affiliate gives a personal review or testimonial about FIA, it should reflect their genuine experience.
66. Material Connection Disclosure
The Affiliate relationship should be disclosed when the Affiliate provides an opinion or recommendation concerning FIA.
67. No Fake Testimonials
Affiliates must not:
fabricate testimonials;
create fake customer reviews;
purchase false reviews;
use AI to manufacture fake experiences; or
misrepresent another person’s experience.
COOKIE AND ATTRIBUTION ABUSE
68. Cookie Stuffing
Cookie stuffing is prohibited.
Affiliates must not place or cause an Affiliate attribution identifier to be stored without a genuine user interaction that FIA recognizes as a valid referral.
69. Forced Clicks
Affiliates must not use:
invisible links;
hidden redirects;
pop-under schemes;
forced clicks;
unauthorized browser extensions;
misleading download buttons; or
similar methods
to create false referral attribution.
70. Attribution Manipulation
Affiliates must not attempt to manipulate FIA attribution through:
automated clicks;
fake traffic;
duplicate accounts;
artificial redirects;
stolen referral codes;
transaction collusion; or
other deceptive methods.
BRAND AND INTELLECTUAL PROPERTY
71. Limited Brand Licence
While an Affiliate remains in good standing, FIA may allow the Affiliate to use approved FIA promotional materials solely for authorized Affiliate promotion.
This permission is:
limited;
non-exclusive;
non-transferable;
revocable; and
subject to FIA Brand rules.
72. No Ownership
Affiliate participation does not transfer ownership of:
FIA trademarks;
logos;
content;
marketing materials;
badges; or
other FIA intellectual property.
73. Modification of FIA Assets
Affiliates must not materially modify FIA Brand assets in a misleading or damaging manner.
FIA may require correction or removal of unauthorized brand use.
AI AND AUTOMATED PROMOTION
74. AI-Assisted Affiliate Content
Affiliates may use AI-assisted tools where otherwise permitted, but remain responsible for the resulting content.
75. AI Content Must Be Accurate
AI-generated promotional content must not:
fabricate FIA features;
invent prices;
invent discounts;
create fake testimonials;
misrepresent commission;
falsely claim Marketplace functionality is live; or
make another materially misleading statement.
PRIVACY
76. Customer Information
Affiliates do not receive unrestricted rights to customer personal information merely because they generated a referral.
77. Tracking Information
Affiliate tracking information is handled according to FIA’s:
Privacy Policy;
Cookie & Tracking Policy; and
applicable Affiliate Tracking & Attribution Disclosure.
78. No Unauthorized Customer Lists
Affiliates may not demand or obtain FIA customer information beyond what FIA lawfully makes available for legitimate Program administration.
TAXES
79. Affiliate Tax Responsibilities
Affiliates are responsible for understanding and complying with their own:
income-tax;
sales-tax;
business-registration;
invoicing; and
other tax obligations
applicable to Affiliate earnings.
FIA does not provide individualized tax advice through the Affiliate Program.
80. Tax Information Requests
FIA may request tax-related information where reasonably necessary to:
issue payments;
maintain records;
satisfy reporting requirements; or
comply with applicable law.
RECORDS AND AUDIT
81. FIA Program Records
FIA may maintain records relating to:
Affiliate approval;
referral clicks;
attribution;
qualifying sales;
commissions;
payouts;
refunds;
chargebacks;
compliance;
promotional violations; and
fraud investigations.
82. Affiliate Records
Affiliates should maintain records reasonably necessary to demonstrate compliance with matters such as:
advertising disclosures;
consent for marketing communications;
promotional claims;
tax reporting; and
other applicable requirements.
MONITORING AND COMPLIANCE
83. FIA May Review Affiliate Promotion
FIA may review publicly available Affiliate promotion to assess compliance with these Terms.
This may include reviewing:
websites;
public social-media posts;
public advertisements;
publicly available videos; or
other public promotional material.
84. Correction Requests
Where FIA identifies a problem, FIA may ask the Affiliate to:
add disclosure;
remove a claim;
correct a price;
remove outdated material;
stop unauthorized advertising;
correct Brand use; or
otherwise address the issue.
SUSPENSION
85. FIA May Suspend Affiliate Participation
FIA may suspend an Affiliate where there is a reasonable concern involving:
fraud;
misleading advertising;
disclosure failures;
spam;
payment manipulation;
self-referrals;
cookie stuffing;
intellectual-property misuse;
security concerns; or
another material violation.
86. Commission During Investigation
Where commission is reasonably connected to suspected misconduct, FIA may temporarily hold the affected commission while the issue is investigated.
A temporary hold does not necessarily mean that FIA has made a final finding of misconduct.
TERMINATION
87. Affiliate Termination
Either party may end the Affiliate relationship subject to these Terms and any applicable written program arrangement.
FIA may terminate participation immediately for serious misconduct.
88. Effect of Termination
After termination, the Affiliate must stop representing themselves as an active FIA Affiliate.
FIA may disable:
Affiliate links;
referral identifiers;
dashboard access;
promotional permissions; or
other Affiliate functionality.
89. Previously Earned Commission
Approved commission properly earned before termination may remain payable, subject to:
refunds;
chargebacks;
fraud;
offsets permitted by law;
minimum payout requirements; and
these Terms.
Commission connected with prohibited or fraudulent activity may be disqualified.
PROGRAM CHANGES
90. Changes to Commission or Program Rules
FIA may change the Affiliate Program prospectively.
Changes may involve:
eligible products;
commission rates;
attribution windows;
tier thresholds;
payout cycles;
minimum payout thresholds;
promotional rules; or
technical systems.
Material changes will not be applied retroactively to an already properly earned commission unless required to correct fraud, error or another legally permitted issue.
91. Notice of Material Changes
Where appropriate, FIA may provide notice through:
Affiliate email;
Affiliate account;
dashboard;
Program page;
updated Terms; or
another reasonable communication method.
NO GUARANTEED INCOME
92. No Earnings Guarantee
FIA does not guarantee that an Affiliate will earn:
any commission;
minimum monthly income;
a particular number of referrals;
traffic;
customers;
conversions;
revenue; or
other financial results.
Affiliate results depend on many factors outside FIA’s control.
INDEPENDENT BUSINESS EXPENSES
93. Affiliate Costs
Unless FIA expressly agrees otherwise, Affiliates are responsible for their own:
equipment;
internet;
advertising expenses;
software;
taxes;
business expenses; and
promotional costs.
Affiliates should not spend money based on an assumption of guaranteed Affiliate earnings.
INDEMNITY AND RESPONSIBILITY
94. Affiliate Responsibility
The Affiliate is responsible for their own:
marketing conduct;
communications;
claims;
content;
legal compliance;
tax compliance; and
use of Affiliate materials.
95. Unauthorized Promises
FIA is not responsible for an unauthorized promise made independently by an Affiliate.
An Affiliate may be responsible for losses or claims resulting from their own unlawful or unauthorized conduct, subject to the applicable agreement and law.
RELATIONSHIP WITH OTHER FIA DOCUMENTS
96. Related Documents

DISPUTES
97. Affiliate Disputes
Affiliate disputes may include matters concerning:
attribution;
qualifying sales;
commission calculation;
tier determination;
payout;
suspension;
termination; or
promotional compliance.
Disputes should first be submitted through FIA’s applicable Affiliate or policy enquiry process.
98. Evidence
FIA may review:
tracking records;
payment records;
account records;
referral information;
promotional materials;
customer transaction records; and
other relevant information
when evaluating an Affiliate dispute.
GOVERNING LAW
99. Governing Law
Unless mandatory law requires otherwise, these Affiliate Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.
AFFILIATE ENQUIRIES
100. Questions About These Terms
For Affiliate Program questions, use the FIA Policy, Privacy & Legal Enquiry Form.
