Find It All Platform

This Insurance Declaration & Acknowledgment Addendum (“Addendum”) forms part of and is incorporated into the Vendor Agreement, Terms of Service, and any applicable High-Risk Category Addendum of the Find It All platform.
This Addendum is entered into by:
Innovara Marketing Inc., a corporation incorporated under the laws of Canada, having its principal place of business in Ontario (“Innovara”),
and
The business entity or individual operating as a Vendor on the Find It All platform (“Vendor”).
Find It All is a brand owned and operated by Innovara Marketing Inc.
1. PURPOSE
1.1 This Addendum confirms the Vendor’s responsibility to maintain appropriate insurance coverage for the products and/or services they offer through the Platform.
1.2 The purpose of this requirement is to:
- Protect Vendors
- Protect Customers
- Protect the Platform and its users
- Maintain a trusted and compliant marketplace environment
2. VENDOR INSURANCE OBLIGATION
2.1 The Vendor acknowledges and agrees that they are solely responsible for obtaining and maintaining insurance coverage appropriate to their business activities.
2.2 Required insurance may include, where applicable:
- Commercial General Liability Insurance
- Professional Liability / Errors & Omissions Insurance
- Product Liability Insurance
- Any industry-specific or legally mandated insurance
2.3 Insurance coverage must:
- Be active and valid at all times
- Cover all products and/or services offered on the Platform
- Comply with applicable federal, provincial, and municipal regulations
3. PROOF OF INSURANCE
3.1 Innovara may request proof of insurance:
- During onboarding
- For access to premium or featured listings
- Periodically as part of compliance checks
- In response to customer complaints or disputes
3.2 Proof of insurance may include:
- Certificate of Insurance
- Policy summary
- Renewal confirmation
3.3 Failure to provide proof upon request may result in:
- Temporary suspension of listings
- Restriction of platform features
- Removal from certain categories
4. NO PLATFORM INSURANCE OR LIABILITY
4.1 Innovara Marketing Inc. and Find It All:
- Do not provide insurance coverage to Vendors
- Do not act as an insurer or broker
- Do not assume liability for Vendor products or services
4.2 The Vendor agrees that Innovara is not responsible for:
- Claims arising from Vendor activities
- Damages, losses, or injuries related to Vendor services or products
5. INDEMNIFICATION
5.1 The Vendor agrees to indemnify and hold harmless Innovara Marketing Inc., Find It All, and their directors, officers, employees, and partners from any claims, losses, or liabilities arising from:
- Vendor failure to maintain insurance
- Vendor-provided products or services
- Insurance-related disputes or claims
6. ACKNOWLEDGMENT & REPRESENTATION
6.1 By accepting this Addendum, the Vendor represents and warrants that:
- They understand the insurance requirements
- They have obtained or will obtain appropriate coverage
- They will maintain coverage throughout their use of the Platform
6.2 The Vendor acknowledges that failure to comply may result in suspension or termination of platform access.
7. GOVERNING LAW
This Addendum is governed by the laws of Ontario, Canada, and forms an integral part of the Vendor Agreement and Platform Terms of Service.
8. ACCEPTANCE
By operating as a Vendor on the Find It All platform, the Vendor confirms acceptance of this Insurance Declaration & Acknowledgment Addendum.
