Find It All Platform
A Brand Owned & Operated by Innovara Marketing Inc.
This Vendor Agreement (“Agreement”) is entered into as of the date of acceptance (“Effective Date”) by and between:
Innovara Marketing Inc., a corporation incorporated under the laws of Canada, having its principal place of business in Ontario (“Innovara”),
and
The business entity or individual accepting this Agreement (“Vendor”).
Find It All is a brand owned and operated by Innovara Marketing Inc.
1. PURPOSE & PLATFORM ROLE
1.1 Find It All is a digital platform designed to help businesses gain visibility, manage sales, engage customers, and grow their operations.
1.2 Innovara provides the technology, discovery, marketing, and payment infrastructure, while Vendors independently provide their own products and/or services.
1.3 Innovara is not a party to transactions between Vendors and Customers but acts as a facilitator and platform provider.
2. INDEPENDENT BUSINESS RELATIONSHIP
2.1 Vendors operate as independent businesses and retain full control over their operations, pricing, services, and customer fulfillment.
2.2 Nothing in this Agreement creates an employment, partnership, agency, joint venture, or franchise relationship between the parties.
2.3 Vendors remain free to operate their businesses outside the Platform without restriction.
3. VENDOR RESPONSIBILITIES
Vendor agrees to:
- Provide accurate and up-to-date business information
- Deliver products and services professionally and in good faith
- Comply with all applicable federal, provincial, and municipal laws
- Maintain required licenses, permits, and certifications
- Handle customer fulfillment, warranties, and service quality
Innovara agrees to:
- Provide platform access and tools as described
- Process transactions transparently
- Provide reasonable support related to platform usage
4. INSURANCE & RISK RESPONSIBILITY
4.1 Vendors are responsible for maintaining appropriate insurance coverage for the products and/or services they offer, including where applicable:
- Commercial General Liability Insurance
- Professional Liability / Errors & Omissions Insurance
- Product Liability Insurance
4.2 This requirement exists to:
- Protect Vendors, Customers, and the Platform
- Maintain a trusted marketplace environment
4.3 Innovara does not provide insurance coverage for Vendor activities and does not assume liability for Vendor-delivered services or products.
4.4 Proof of insurance may be requested for:
- Certain categories
- Premium placements
- Regulatory or compliance requirements
5. PAYMENTS, COMMISSIONS & TRANSPARENCY
5.1 Innovara processes payments through the Platform for convenience and security.
5.2 Innovara retains a commission of 10% + $0.50 per transaction, inclusive of payment gateway fees.
5.3 Vendors receive payouts according to the Platform’s published payout schedule, subject to:
- Refunds
- Chargebacks
- Dispute resolution processes
5.4 Subscription, listing, and promotional fees are clearly disclosed prior to purchase.
6. TAX & REGULATORY RESPONSIBILITY
6.1 Vendors are responsible for:
- Determining applicable taxes
- Collecting and remitting sales taxes
- Reporting income accurately
6.2 Innovara provides transaction records to support Vendor reporting but does not provide tax advice.
7. DATA OWNERSHIP & PLATFORM RIGHTS
7.1 Vendors retain ownership of their customer data generated through the Platform.
7.2 Innovara uses Vendor data only to:
- Operate the Platform
- Provide analytics and insights
- Improve platform services
7.3 Vendors grant Innovara a limited, non-exclusive license to display business information and content for platform operation and marketing.
7.4 Innovara retains full ownership of the Platform’s software, systems, branding, and intellectual property.
8. FAIR USE & PLATFORM INTEGRITY
Vendors agree not to:
- Misrepresent offerings
- Engage in fraudulent or deceptive activity
- Circumvent platform fees
- Interfere with platform operations or other vendors
Innovara agrees to apply platform policies reasonably and consistently.
9. SUSPENSION & TERMINATION
9.1 Innovara may suspend or terminate access if:
- There is material breach of this Agreement
- Legal or regulatory violations occur
- Insurance or licensing requirements are unmet
9.2 Where reasonable, Innovara will provide notice and an opportunity to correct issues before termination.
9.3 Vendors may terminate their participation at any time subject to outstanding obligations.
10. LIMITATION OF LIABILITY
10.1 Innovara is not liable for:
- Vendor service outcomes
- Customer satisfaction disputes
- Indirect or consequential damages
10.2 Innovara’s total liability is limited to fees paid by Vendor in the three (3) months preceding any claim.
11. MUTUAL INDEMNIFICATION
11.1 Vendors agree to indemnify Innovara for claims arising from Vendor products, services, or legal non-compliance.
11.2 Innovara agrees to indemnify Vendors for claims arising directly from Innovara’s platform-level negligence or system failures.
✔ This mutual clause significantly improves perceived fairness.
12. GOVERNING LAW & DISPUTE RESOLUTION
12.1 This Agreement is governed by the laws of Ontario, Canada.
12.2 Parties agree to attempt good-faith resolution prior to litigation.
13. AMENDMENTS & UPDATES
Innovara may update this Agreement as the Platform evolves, with reasonable notice provided through the Platform.
14. ACCEPTANCE
By registering or operating as a Vendor on Find It All, Vendor agrees to be bound by this Agreement.
