Marketplace Purchase Terms
Effective Date: 1 October 2026
Last Updated: 30 September 2026
Legal Operator: Innovara Marketing Inc.
Brand: Find It All (FIA)
Document Owner: FIA Marketplace & Trust Operations
1. About These Marketplace Purchase Terms
These Marketplace Purchase Terms apply when a customer purchases an eligible product or service through the Find It All (FIA) Marketplace.
Find It All is owned, operated and managed by Innovara Marketing Inc.
These Terms work together with:
the information shown on the applicable Marketplace listing;
the order summary presented before purchase;
the Marketplace Buyer Protection & Resolution Policy;
the Marketplace Order, Fulfilment, Cancellation & Refund Standard;
the Payment, Billing, Refund & Payout Policy;
FIA’s Terms of Service; and
other terms specifically disclosed for the applicable purchase.
By completing a Marketplace purchase where acceptance is required, the Buyer agrees to the terms applicable to that transaction.
Nothing in these Terms removes rights or remedies that cannot lawfully be waived.
2. Who Is Selling the Product or Service?
Marketplace offerings should identify the business responsible for providing the applicable product or service.
For example:
Provided by: [Seller Business Name]
or
Sold by: [Seller Business Name]
Where Innovara Marketing Inc. directly provides the product or service, Innovara will be identified as the provider or Seller.
This distinction matters because approved independent Marketplace Sellers remain responsible for the products and services they supply unless FIA expressly states otherwise.
3. FIA’s Marketplace Role
FIA provides the Marketplace environment through which approved offerings may be discovered, presented, purchased and managed.
Depending on the transaction, FIA may provide functions such as:
Marketplace listings;
checkout;
payment processing;
transaction records;
Seller administration;
Buyer support;
refund administration;
Affiliate attribution;
dispute-resolution processes; and
other Marketplace functionality.
FIA’s involvement in the transaction does not automatically make Innovara Marketing Inc. the provider of a product or service supplied by an independent Seller.
4. Independent Marketplace Sellers
Approved third-party Marketplace Sellers are independent businesses.
Unless expressly stated otherwise, the Seller is responsible for matters applicable to its offering, including:
accurate descriptions;
fulfilment;
professional services;
required licences or registrations;
required insurance;
warranties it provides;
customer communication;
taxes for which the Seller is responsible; and
compliance with laws applicable to its business.
Marketplace participation does not create an employment, partnership, franchise, joint venture or general agency relationship between FIA and an independent Seller.
5. Review the Offering Before Purchasing
Buyers should review the Marketplace listing carefully before completing an order.
Depending on the offering, important information may include:
Seller identity;
description of the product or service;
scope;
inclusions;
exclusions;
price;
applicable taxes;
service area;
estimated fulfilment;
customer responsibilities;
appointment or scheduling requirements;
cancellation conditions;
refund conditions; and
other material limitations.
Questions about the scope of an offering should be resolved before purchase where possible.
6. Pricing
The price presented for an FIA Marketplace offering should accurately represent the price required to obtain the advertised offering, excluding applicable government-imposed taxes or other amounts that may lawfully be treated separately.
Mandatory Seller-controlled charges should not be hidden and added only at the final stage of checkout.
Where optional upgrades, additional services or add-ons are available, they should be identified as optional.
The Buyer is responsible for reviewing the final order total before completing the transaction.
7. Taxes
Applicable GST/HST, PST, QST or other taxes may be added where required.
The tax treatment of a Marketplace purchase can depend on factors including:
the Seller;
the nature of the product or service;
the customer’s location;
the Seller’s registration status; and
applicable tax law.
Applicable taxes should be displayed or calculated through the Marketplace process where required.
8. Marketplace Order Review
Immediately before completing an eligible purchase, the Buyer should have an opportunity to review material transaction information and correct applicable errors.
This may include information such as:
selected offering;
Seller;
quantity or scope;
price;
applicable taxes and charges;
customer information;
fulfilment information; and
applicable purchase terms.
The Buyer should correct any known errors before placing the order.
9. Acceptance and Order Formation
A Marketplace purchase is completed through FIA’s authorized checkout process.
Where required, the Buyer must affirmatively accept the applicable Marketplace Purchase Terms before placing the order.
Submitting an order does not require FIA or a Seller to fulfil a transaction that:
cannot lawfully be completed;
results from an obvious material pricing or technical error;
involves suspected fraud;
involves an unavailable or prohibited offering; or
cannot reasonably be fulfilled for another legitimate reason.
Where an accepted order cannot be fulfilled, the applicable cancellation and refund process will apply.
10. Order Confirmation
After a Marketplace transaction is completed, FIA should provide or make available a written or electronic record of the transaction through an appropriate method.
Depending on the purchase, this may include:
order number;
transaction date;
Buyer information;
Seller or provider;
purchased offering;
price;
applicable taxes and charges;
payment confirmation;
fulfilment information; and
applicable terms or access to those terms.
Buyers should retain their order confirmation and related transaction records.
11. Payment Processing
Marketplace payments may be processed through FIA and approved third-party payment processors.
By submitting a payment method, the Buyer represents that they are authorized to use that payment method.
Buyers must not knowingly:
use stolen or unauthorized payment credentials;
submit fraudulent transactions;
manipulate payment processes;
misuse refunds; or
attempt multiple recoveries for the same transaction.
Payment information may be handled by authorized payment-processing providers in accordance with applicable privacy and payment requirements.
12. Marketplace Services
Many FIA Marketplace offerings may involve services rather than physical products.
Service offerings should identify material information such as:
what is included;
the expected scope;
significant exclusions;
information the Buyer must provide;
expected fulfilment;
service area;
appointment requirements where applicable; and
material cancellation conditions.
The Buyer should not assume that work outside the published or agreed scope is included in the purchase price.
13. Buyer Cooperation
Certain products or services cannot be fulfilled without reasonable Buyer cooperation.
Depending on the offering, the Buyer may need to:
provide information;
submit content or materials;
attend an appointment;
approve work;
provide access;
respond to reasonable Seller questions; or
complete another stated requirement.
A Seller may not be responsible for delays materially caused by the Buyer’s failure to provide required cooperation.
14. Seller Fulfilment
Marketplace Sellers are expected to fulfil accepted orders according to the applicable offering and Marketplace requirements.
Where a material fulfilment issue occurs, the Seller should communicate appropriately with the Buyer.
If a Seller cannot fulfil an accepted order, the applicable cancellation, refund and Marketplace-resolution procedures may apply.
15. Scheduling and Appointments
Some Marketplace services may require appointments or scheduled fulfilment.
Where applicable, the offering should explain relevant scheduling conditions.
Buyers and Sellers are expected to communicate reasonably regarding:
appointment confirmation;
scheduling changes;
access requirements;
delays;
cancellations; and
rescheduling.
Any specific cancellation or no-show condition must remain subject to applicable law.
16. Changes to the Purchased Scope
A Seller should not materially expand the scope or price of an accepted Marketplace order without the Buyer’s agreement.
If additional work is requested after purchase, it may require:
a separate Marketplace purchase;
an approved add-on;
an amended scope;
additional Buyer authorization; or
another appropriate transaction process.
Buyers should not assume that additional work is included merely because it relates to the original service.
17. Cancellations
Cancellation rights depend on the applicable offering, stage of fulfilment, applicable terms and applicable law.
Relevant factors may include:
whether work has begun;
whether work has already been completed;
whether an appointment was reserved;
whether third-party costs have been committed;
whether the Seller can still reasonably cancel those costs;
the terms disclosed before purchase; and
statutory cancellation rights.
For further information, review the Marketplace Order, Fulfilment, Cancellation & Refund Standard.
18. Refunds
Refund eligibility depends on the circumstances of the transaction.
Possible outcomes may include:
full refund;
partial refund;
correction or continued fulfilment;
rescheduling;
replacement where appropriate;
no refund where the applicable obligations were properly fulfilled; or
another outcome consistent with applicable terms and law.
Calling an amount a deposit or otherwise describing an amount as non-refundable does not override consumer rights that cannot lawfully be waived.
19. Buyer Protection
Eligible Marketplace purchases may have access to FIA’s Marketplace Buyer Protection & Resolution Policy.
Buyer Protection may assist with matters including:
non-fulfilment;
Seller cancellation;
materially misdescribed offerings;
significant fulfilment failures;
duplicate Marketplace charges;
applicable refund disputes; or
other eligible Marketplace transaction issues.
Buyer Protection is not an unconditional satisfaction or money-back guarantee.
20. Reporting a Marketplace Problem
Where a problem arises, Buyers should use the support or resolution process associated with the Marketplace transaction where available.
FIA may request relevant information from the Buyer, Seller or both.
Depending on the issue, this may include:
order records;
communications;
photographs;
files;
fulfilment evidence;
appointment records;
invoices; or
other information reasonably related to the transaction.
Parties must not knowingly provide false or manipulated evidence.
21. Chargebacks
Where appropriate, Buyers are encouraged to use FIA’s Marketplace resolution process before initiating duplicate recovery processes.
Nothing in these Terms removes rights a Buyer may have through a payment provider, financial institution or applicable law.
A Buyer must not knowingly receive multiple recoveries for the same amount.
A chargeback or payment reversal may result in investigation or adjustment of associated Marketplace records.
22. Affiliate-Referred Purchases
Some FIA Marketplace purchases may result from referrals made by approved FIA Affiliates.
Where applicable, the Affiliate may receive compensation from FIA for a qualifying referral.
An Affiliate does not become the Seller merely because the Affiliate introduced the Buyer.
Unless expressly disclosed otherwise, Affiliate compensation does not change which business is responsible for fulfilling the purchased offering.
23. Reviews and Feedback
After an eligible Marketplace transaction, Buyers may have an opportunity to provide reviews or feedback.
Reviews should reflect genuine experiences and comply with FIA’s Reviews & Ratings Policy.
Buyers must not:
fabricate experiences;
knowingly submit false reviews;
threaten negative reviews to obtain benefits not otherwise owed;
use reviews for harassment; or
manipulate FIA’s review system.
Sellers may respond to legitimate reviews and report content they reasonably believe violates FIA policy.
24. Seller Verification
Marketplace Sellers may be subject to FIA verification.
Verification may improve confidence that certain information has been reviewed, but FIA verification is not:
government certification;
a guarantee of service quality;
a guarantee of results;
a guarantee of future performance;
insurance; or
a guarantee that every Seller statement will remain accurate indefinitely.
See FIA’s Business Verification Standards for more information.
25. Regulated or Professional Services
Some Marketplace offerings may involve regulated or professional services.
The applicable Seller remains responsible for maintaining required professional licences, registrations, permits and other authorizations.
FIA Marketplace approval does not replace professional regulation.
Customers should consider whether a particular professional relationship or regulatory requirement applies to the service they are purchasing.
26. Marketplace Availability
FIA may change, restrict or discontinue particular:
Marketplace offerings;
Sellers;
categories;
payment methods;
service areas; or
Marketplace functions
where reasonably necessary.
This does not eliminate obligations relating to transactions already entered into.
27. Prohibited Marketplace Activity
Buyers must not use the Marketplace to:
commit fraud;
purchase unlawful products or services;
misuse payment methods;
manipulate Affiliate attribution;
harass Sellers;
abuse refund or chargeback systems;
attempt to compromise Marketplace systems; or
engage in activity prohibited by FIA’s Acceptable Use Policy.
Serious violations may result in restriction or termination of Marketplace access.
28. Privacy
Marketplace transactions may require FIA and applicable Sellers to process information necessary to:
administer orders;
process payments;
provide services;
communicate regarding transactions;
prevent fraud;
resolve disputes;
satisfy legal obligations; or
provide Marketplace functionality.
FIA handles personal information in accordance with its Privacy Policy.
Independent Sellers may also have their own privacy obligations where they independently collect or control personal information.
29. Marketplace Records
FIA may retain transaction and related Marketplace records as reasonably necessary for purposes including:
order administration;
accounting;
fraud prevention;
payment disputes;
customer support;
Seller administration;
Affiliate attribution;
regulatory requirements; and
legal obligations.
Retention is subject to FIA’s applicable privacy and data-governance requirements.
30. Third-Party Services and Costs
A Marketplace offering may involve third-party services or external costs.
Where material, these should be disclosed appropriately.
Examples may include:
advertising spend;
software;
domains;
hosting;
licences;
stock assets;
travel;
delivery; or
government charges.
Where additional optional purchases are required, Buyers should be informed before agreeing to them.
31. Marketplace Seller Disputes
Where a Buyer and Seller disagree about fulfilment, scope, cancellation, refund or another Marketplace issue, FIA may provide an applicable resolution process.
FIA may review information from both parties and facilitate or administer an appropriate Marketplace outcome.
FIA’s internal Marketplace resolution process does not prevent a party from exercising rights that cannot lawfully be waived.
32. Consumer Rights
Nothing in these Marketplace Purchase Terms excludes, restricts or replaces rights or remedies that cannot lawfully be excluded.
Depending on the transaction and jurisdiction, consumer-protection laws may provide additional rights concerning matters such as:
required disclosure;
online agreements;
cancellation;
delivery;
misrepresentation;
refunds; or
other consumer protections.
Where these Terms conflict with a mandatory legal requirement, the mandatory requirement applies to the extent of the conflict.
33. Ontario Internet Agreements
For Marketplace transactions that qualify as internet agreements under applicable Ontario consumer-protection law, additional legal requirements may apply.
These may include requirements concerning:
information that must be disclosed before the agreement is entered into;
an express opportunity to accept or decline;
an opportunity to correct errors immediately before purchase;
accessible and retainable disclosures;
delivery of a written copy of the agreement; and
cancellation rights in circumstances provided by law.
FIA’s Marketplace checkout and transaction process should be read together with these Terms and the order-specific information presented to the Buyer.
34. Marketplace Communications
Buyers agree that transactional Marketplace communications may be sent where reasonably necessary to administer their order.
These may include:
order confirmations;
payment notices;
fulfilment updates;
Seller communications;
cancellation notices;
refund information;
dispute communications; and
security or account notices.
Transactional communications are separate from optional promotional marketing communications.
35. Electronic Acceptance
Where FIA uses electronic acceptance, clicking an acceptance checkbox, button or equivalent electronic control may indicate agreement to the terms presented for the applicable transaction.
Buyers should not complete a Marketplace purchase unless they understand and agree to the applicable transaction terms.
FIA may maintain records of electronic acceptance and the version of terms applicable to the transaction.
36. Order-Specific Terms
Certain Marketplace offerings may have additional terms specific to that offering.
Where applicable, these should be presented or made available before purchase.
Order-specific terms may address matters such as:
scope;
milestones;
scheduling;
deliverables;
revisions;
customer responsibilities;
third-party expenses;
cancellation; or
fulfilment requirements.
Order-specific terms supplement these Marketplace Purchase Terms.
They cannot remove statutory rights that cannot lawfully be waived.
37. Which Terms Apply?
For a Marketplace purchase, the applicable agreement may include:
the order information presented at checkout;
applicable offering-specific terms;
these Marketplace Purchase Terms;
Marketplace Buyer Protection & Resolution Policy;
Marketplace Order, Fulfilment, Cancellation & Refund Standard;
Payment, Billing, Refund & Payout Policy; and
FIA Terms of Service.
Where an unavoidable conflict exists, more specific transaction terms generally govern the particular transaction, subject always to mandatory law.
38. Changes to These Terms
FIA may update these Marketplace Purchase Terms for future transactions.
The version applicable to an existing purchase is generally the version accepted or otherwise applicable when that purchase was completed, except where a change must apply because of mandatory law or is expressly agreed.
The published page will identify the current version and effective date.
39. Limitation of FIA’s Marketplace Role
For third-party Marketplace offerings, FIA does not guarantee:
the results of a Seller’s services;
customer satisfaction;
uninterrupted Seller availability;
every representation independently made by a Seller;
future professional or regulatory standing; or
that every Marketplace dispute will result in reimbursement.
Nothing in this section excludes responsibility that cannot lawfully be excluded.
Where Innovara Marketing Inc. is expressly identified as the provider, its obligations are determined by the applicable transaction and service terms.
40. Governing Law
Unless mandatory law requires otherwise, these Marketplace Purchase Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.
Nothing in this section removes rights that cannot lawfully be waived based on the Buyer’s applicable jurisdiction or circumstances.
