Classification: PUBLIC — PLATFORM ROLE & RESPONSIBILITY EXPLANATION

Legal Operator: Innovara Marketing Inc.
Brand: Find It All (FIA)
Document Owner: FIA Trust & Platform Operations

1. Why This Page Exists

Find It All brings together local discovery, business listings, verification, reviews, Business Stories, professional business services, Marketplace transactions, Affiliates, Service Partners, business resources and other growth-oriented features.

Because FIA may play different roles in different interactions, this page explains:

  • who operates FIA;

  • when Innovara Marketing Inc. is the direct provider;

  • when an independent business is responsible;

  • how Marketplace transactions work;

  • how Affiliates fit into the ecosystem;

  • how Service Partners differ from FIA;

  • what verification means;

  • what FIA may administer on the platform; and

  • what FIA does not guarantee.

The role applicable to a particular interaction depends on the specific service, transaction, offer and relationship involved.

PART I — WHO OPERATES FIA

2. Innovara Marketing Inc.

Find It All, or FIA, is the public-facing brand and platform owned, operated and managed by:

Innovara Marketing Inc.

FIA and Innovara Marketing Inc. are not unrelated companies.

When FIA’s policies refer to the legal operator of the platform, that legal operator is Innovara Marketing Inc.

3. FIA’s Current Role

FIA is being developed as a Canada-first local discovery and business-growth ecosystem.

Current FIA activities may include:

  • business discovery;

  • public business information;

  • business listings;

  • listing claims;

  • business verification where applicable;

  • reviews and ratings;

  • Business Stories;

  • business resources;

  • direct professional services;

  • Marketplace functionality for eligible offers;

  • Affiliate programs;

  • Service Partner relationships;

  • promotional and visibility products; and

  • other approved platform functions.

Availability may vary by:

  • category;

  • location;

  • Seller;

  • service;

  • account;

  • program; and

  • implementation stage.

FIA should not be described as having functionality, scale or coverage that has not actually been launched.

PART II — FIA IS NOT A GOVERNMENT AUTHORITY

4. FIA Is a Private Platform

FIA is not:

  • a government department;

  • regulator;

  • court;

  • public licensing authority;

  • universal accreditation body; or

  • universal certification authority.

5. FIA Decisions Are Platform Decisions

FIA may make administrative decisions about matters such as:

  • listings;

  • verification;

  • reviews;

  • Marketplace participation;

  • Affiliate participation;

  • Seller offers;

  • account access;

  • platform disputes; or

  • policy enforcement.

Those are FIA platform decisions.

They are not governmental, judicial or regulatory rulings.

PART III — INDEPENDENT BUSINESSES

6. Businesses Listed on FIA

Unless FIA clearly identifies otherwise, a business appearing on FIA remains an independent business.

A business does not become owned or operated by Innovara Marketing Inc. merely because it:

  • has a listing;

  • claims a profile;

  • becomes verified;

  • purchases an FIA service;

  • appears in a Business Story;

  • sells through FIA Marketplace; or

  • participates in another FIA program.

7. Independent Business Responsibilities

An independent business generally remains responsible for its own:

  • products;

  • services;

  • pricing;

  • representations;

  • customer service;

  • employees and contractors;

  • licences;

  • permits;

  • insurance;

  • tax obligations;

  • professional obligations;

  • warranties; and

  • legal compliance.

FIA’s involvement may be greater where the business participates in a specific FIA Marketplace or service program, but participation does not automatically transfer the independent business’s underlying operating responsibilities to Innovara.

PART IV — DIRECTORY AND LISTING INFORMATION

8. Sources of Listing Information

Business information on FIA may come from:

  • the business;

  • an authorized representative;

  • users;

  • FIA;

  • permitted public sources; or

  • other lawful sources.

9. Time-Sensitive Information

Users should confirm important or time-sensitive information where appropriate, including matters such as:

  • current opening hours;

  • pricing;

  • availability;

  • licences;

  • insurance;

  • appointment availability; or

  • service restrictions.

10. Unclaimed Listings

A business may appear on FIA without having claimed its listing.

An unclaimed listing does not mean the business:

  • has entered into a commercial agreement with FIA;

  • has paid FIA;

  • has been verified;

  • participates in the Marketplace; or

  • endorses FIA.

PART V — BUSINESS CLAIMS

11. Claiming a Business

A business claim concerns authority to manage or control an applicable FIA business profile.

Claiming a listing does not automatically mean the business has passed every separate FIA verification process.

See the Claim & Ownership Verification Declaration.

PART VI — BUSINESS VERIFICATION

12. What FIA Verification Means

FIA verification may assess particular information about a business or account under the applicable verification process.

The meaning of a verification status is governed by the Business Verification Standards.

13. Verification Is Not a Guarantee

FIA verification does not automatically mean that FIA:

  • guarantees the business;

  • guarantees future performance;

  • guarantees customer satisfaction;

  • guarantees regulatory compliance;

  • guarantees financial stability;

  • guarantees every product or service; or

  • assumes responsibility for every future act of the business.

14. Verification May Change

Verification status may be reviewed or changed where:

  • material information changes;

  • credentials expire;

  • new information becomes available;

  • an integrity concern arises; or

  • reverification is otherwise appropriate.

PART VII — DIRECT SERVICES PROVIDED BY INNOVARA

15. Innovara May Be the Direct Provider

Innovara Marketing Inc. may directly provide products or services through FIA.

Examples may include approved:

  • marketing services;

  • business-growth services;

  • Business Story services;

  • professional service packages;

  • promotional products;

  • visibility services; and

  • other Innovara offerings.

16. Direct-Service Responsibility

Where Innovara is expressly identified as the provider, Innovara is responsible for that service according to the applicable:

  • offer;

  • proposal;

  • order;

  • invoice;

  • statement of work;

  • service terms; or

  • other accepted agreement.

17. No Automatic Business-Outcome Guarantee

Purchasing a direct Innovara/FIA service does not automatically guarantee:

  • leads;

  • customers;

  • rankings;

  • traffic;

  • revenue;

  • sales;

  • business growth; or

  • return on investment

unless a specific written agreement expressly provides a particular guarantee.

PART VIII — FIA MARKETPLACE

18. Marketplace Functionality Is Part of FIA’s Current Model

FIA operates Marketplace functionality for eligible offers.

The Marketplace may enable or facilitate functions such as:

  • offer display;

  • checkout;

  • payment facilitation;

  • order records;

  • Affiliate attribution;

  • Buyer support;

  • fulfilment records;

  • refund administration;

  • dispute administration; and

  • Seller payout administration.

Marketplace availability may vary by Seller, offer, category and location.

19. Marketplace Seller Must Be Identified

The actual Seller or provider applicable to a Marketplace purchase should be identified through the relevant:

  • offer;

  • listing;

  • checkout;

  • order confirmation; or

  • transaction information.

This distinction is important because FIA Marketplace may contain both:

  • Innovara-provided offers; and

  • independent Seller offers.

PART IX — INNOVARA AS A MARKETPLACE VENDOR

20. Innovara Marketplace Vendor

Innovara Marketing Inc. may sell products or services through FIA as an identified first-party:

Innovara Marketplace Vendor

Where Innovara is identified as the Seller or provider, Innovara is responsible for that offering.

21. FIA Is Therefore Not “Never a Party”

FIA should not be described using a blanket statement that Innovara is never a party to Marketplace transactions.

Where Innovara is the identified Seller, Innovara is the first-party provider.

PART X — INDEPENDENT MARKETPLACE SELLERS

22. Independent Sellers

Approved independent businesses may sell eligible products or services through FIA Marketplace.

Those businesses remain independent third-party Sellers.

23. Independent Seller Responsibilities

For an independent Seller offer, the Seller remains responsible for matters including the underlying:

  • product or service;

  • accuracy of material offer information;

  • fulfilment;

  • staff or personnel;

  • required licences;

  • applicable insurance;

  • service quality;

  • Seller warranties;

  • taxes remaining their responsibility; and

  • other Seller obligations.

This remains subject to FIA Marketplace rules and Buyer Protection processes.

24. FIA’s Administrative Marketplace Role

For independent Seller transactions, FIA may still administer or facilitate matters such as:

  • checkout;

  • payment processing;

  • order records;

  • Affiliate attribution;

  • Buyer support;

  • dispute administration;

  • refunds;

  • transaction adjustments;

  • Seller payouts; and

  • Marketplace enforcement.

FIA performing those functions does not, by itself, make Innovara the underlying provider of the independent Seller’s product or service.

PART XI — MARKETPLACE COMMERCIAL TERMS

25. Seller Fees

Marketplace Seller fees, Vendor Affiliate Campaign fees, payout rules, refunds and related commercial mechanics are governed by applicable Marketplace documents.

Relevant documents include:

26. Buyer Charges

Seller-side Marketplace or Affiliate Campaign fees must not be converted into undisclosed mandatory Buyer surcharges.

Applicable Buyer pricing should be presented through the relevant offer and checkout process.

PART XII — MARKETPLACE BUYERS

27. Buyer Relationship

A Marketplace Buyer purchases from the Seller/provider identified for the applicable transaction.

The Seller may be:

  • Innovara Marketing Inc.; or

  • an approved independent Marketplace Seller.

28. Buyer Protection

Eligible Marketplace concerns may be reviewed through the Marketplace Buyer Protection & Resolution Policy.

FIA may review matters such as:

  • non-delivery;

  • wrong goods;

  • damaged goods;

  • missing goods;

  • service non-performance;

  • digital-delivery issues;

  • cancellations;

  • refunds; or

  • other qualifying Marketplace concerns.

29. FIA Is Not a Court

FIA’s Marketplace resolution process is an administrative platform process.

It does not make FIA:

  • a court;

  • regulator; or

  • government dispute tribunal.

Applicable external and non-waivable rights remain available where relevant.

PART XIII — PAYMENTS

30. Payments Through FIA

Where a transaction is processed through FIA Marketplace, FIA may facilitate payment using approved payment providers.

Payment administration is governed by the applicable transaction and the Payment, Billing, Refund & Payout Policy.

31. Direct Payments Outside FIA

Where a customer independently purchases from and pays an unrelated business outside an FIA Marketplace transaction, that separate transaction is generally between the customer and that business.

The precise role FIA played must be assessed from the actual circumstances.

PART XIV — AFFILIATES

32. Affiliate Role

Approved FIA Affiliates may promote eligible offers and earn commission on qualifying Affiliate-attributed transactions under applicable Affiliate terms.

33. Affiliate Is Not the Seller

An Affiliate does not become the Seller merely because:

  • they promoted an offer;

  • the Buyer followed their link;

  • they introduced the Buyer; or

  • they may earn commission.

The Seller identified for the transaction remains the Seller.

34. Affiliate Is Not Automatically an FIA Employee or Agent

Affiliate participation does not automatically create:

  • employment;

  • partnership;

  • franchise;

  • joint venture;

  • general agency; or

  • authority to bind Innovara.

35. Affiliate Disclosure

Affiliates must disclose applicable material commercial relationships in accordance with the Affiliate Promotion & Disclosure Guidelines.

36. Affiliate Attribution

FIA’s standard Affiliate attribution model currently uses:

  • a 24-hour protected referral window; and

  • first-valid-click attribution.

Detailed rules appear in the Affiliate Tracking & Attribution Disclosure.

37. Affiliate Compensation

Affiliate commissions, tier eligibility, Tier Finalization, payout adjustments and clawbacks are governed by the Affiliate Program Terms & Conditions.

PART XV — AFFILIATE VS SALES/FREELANCER

38. Separate Roles

FIA’s Affiliate Program and its Freelancer/Independent Sales Contractor structure are separate.

39. Affiliate

An Affiliate generally acts as a self-directed promoter or referrer.

40. Freelancer / Independent Sales Contractor

A Freelancer or Independent Sales Contractor may perform active sales responsibilities under separate documentation.

These may include:

  • prospecting;

  • Vendor acquisition;

  • qualification;

  • closing;

  • account development; or

  • assigned sales responsibilities.

41. No Automatic Double Compensation

The same transaction does not automatically generate both:

  • Affiliate commission; and

  • FIA Freelancer/Sales Contractor compensation.

Any permitted overlap must be expressly authorized.

PART XVI — FIA SERVICE PARTNERS

42. Service Partners

FIA may connect users or businesses with approved independent Service Partners.

43. Independent Specialist Services

Unless the applicable agreement expressly states otherwise, an independent Service Partner is responsible for the specialist service it provides, including matters such as:

  • scope;

  • fulfilment;

  • professional qualifications;

  • licences;

  • taxes;

  • invoicing where applicable; and

  • service quality.

44. Service Partner Status Is Not Employment

Participation as an FIA Service Partner does not automatically create:

  • employment;

  • partnership;

  • ownership;

  • franchise; or

  • general agency

with Innovara Marketing Inc.

PART XVII — BUSINESS STORIES

45. Sponsored Editorial Service

FIA Business Stories are sponsored editorial services.

46. What Purchasing a Business Story Does Not Buy

Purchasing a Business Story does not automatically purchase or guarantee:

  • business verification;

  • favourable reviews;

  • search ranking;

  • Featured Placement;

  • traffic;

  • leads;

  • customers;

  • sales; or

  • business results.

See the Business Story Service Terms.

PART XVIII — REVIEWS AND USER CONTENT

47. Reviews

Reviews and ratings generally reflect the views or experiences of the people who submit them, subject to FIA moderation rules.

48. FIA Does Not Author Every Review

The appearance of a user review on FIA does not mean Innovara authored or independently verified every statement in that review.

49. Negative Reviews

FIA does not automatically remove legitimate critical content merely because the reviewed business disagrees with it.

See the Reviews & Ratings Policy.

PART XIX — ADVERTISING, BOOSTS AND VISIBILITY

50. Promotional Products

FIA may offer separate commercial visibility products such as:

  • Boosts;

  • Featured Placement;

  • Sponsored Visibility;

  • category promotion; or

  • other growth services.

51. Promotional Placement Is Different From Verification

Paid visibility or promotional placement does not automatically mean:

  • the business has a higher verification status;

  • FIA guarantees the business;

  • the business is better than every other business; or

  • FIA guarantees results.

52. Affiliate Campaign Is Also Separate

Participation in FIA’s Affiliate Campaign does not automatically include Boosts, Featured Placement or other visibility products.

PART XX — BUSINESS RESOURCES AND GENERAL INFORMATION

53. General Resources

FIA may publish:

  • articles;

  • guides;

  • templates;

  • educational content;

  • business resources; and

  • general informational material.

54. General Information Is Not Automatically Professional Advice

General FIA information should not be treated as individualized:

  • legal;

  • tax;

  • financial;

  • accounting;

  • medical; or

  • other regulated professional advice

unless an appropriately qualified provider is actually engaged to provide that service.

PART XXI — ARTIFICIAL INTELLIGENCE

55. AI-Assisted Activity

FIA and FIA participants may use AI-assisted tools where appropriate.

AI use does not change who is responsible for:

  • submitted content;

  • factual claims;

  • professional services;

  • Marketplace offers; or

  • promotional representations.

56. AI Does Not Create Independent Authority

AI-generated or AI-assisted content does not become:

  • government-approved;

  • legally certified;

  • professionally verified; or

  • factually guaranteed

merely because AI was involved.

See Responsible AI & AI Usage Disclosure.

PART XXII — PRIVACY AND DATA

57. FIA’s Data Role

FIA may process personal information necessary to operate its platform and applicable programs.

Different data may be processed for:

  • accounts;

  • listings;

  • verification;

  • Marketplace orders;

  • payment administration;

  • Seller onboarding;

  • Affiliate attribution;

  • customer support;

  • complaints;

  • fraud prevention; or

  • other legitimate purposes.

See the Privacy Policy.

58. Seller Access to Buyer Information

Where an independent Seller receives Buyer information needed to fulfil a Marketplace transaction, the Seller remains responsible for its own handling of that information as applicable.

Receiving Buyer information for fulfilment does not create unrestricted permission for unrelated marketing.

PART XXIII — INTELLECTUAL PROPERTY

59. FIA-Owned Material

Innovara Marketing Inc. retains rights in FIA-owned:

  • branding;

  • platform materials;

  • editorial content;

  • software;

  • designs;

  • logos; and

  • other protected assets.

60. User and Business Content

Businesses and users retain ownership of content they own, subject to permissions granted to FIA for appropriate platform operation and other applicable terms.

See the Copyright & Intellectual Property Policy.

PART XXIV — THIRD-PARTY SERVICES

61. External Providers

FIA may use third-party providers for functions including:

  • payment processing;

  • hosting;

  • communications;

  • analytics;

  • verification;

  • tax/reporting support;

  • mapping; or

  • other platform functions.

62. External Provider Responsibility

Third-party providers may operate under their own terms and privacy practices.

FIA does not control every external service decision or interruption.

PART XXV — NO AUTOMATIC LEGAL RELATIONSHIP

63. Platform Use Alone

Using FIA does not, by itself, create an:

  • employment relationship;

  • partnership;

  • franchise;

  • joint venture;

  • general agency relationship; or

  • fiduciary relationship

between Innovara Marketing Inc. and an independent:

  • business;

  • Buyer;

  • Seller;

  • Affiliate;

  • Service Partner; or

  • other participant.

64. Specific Agreements Can Create Specific Rights

This does not mean FIA can never have a contractual relationship with a participant.

Specific rights and obligations may arise under:

  • Marketplace transactions;

  • Seller agreements;

  • Affiliate terms;

  • Service Partner agreements;

  • service contracts;

  • proposals;

  • purchase terms;

  • statements of work;

  • sales-contractor agreements; or

  • other accepted arrangements.

PART XXVI — WHAT FIA DOES NOT GUARANTEE

65. Independent Business Performance

Unless Innovara is itself the provider, FIA does not guarantee every independent business’s:

  • quality;

  • availability;

  • financial stability;

  • future conduct;

  • delivery;

  • professional performance; or

  • customer outcome.

66. Platform Results

FIA does not guarantee:

  • customer leads;

  • Marketplace sales;

  • rankings;

  • reviews;

  • Affiliate income;

  • Affiliate tiers;

  • business growth;

  • website traffic;

  • advertising performance; or

  • return on investment.

67. Platform Availability

FIA does not guarantee uninterrupted or error-free operation of every platform feature.

PART XXVII — FIA POLICY AND ENFORCEMENT ROLE

68. FIA May Enforce Platform Rules

FIA may administer platform rules concerning:

  • listings;

  • verification;

  • reviews;

  • Marketplace participation;

  • Seller offers;

  • Affiliate activity;

  • transactions;

  • user accounts; and

  • other FIA features.

69. Possible Platform Actions

Depending on the applicable terms and circumstances, FIA may:

  • request information;

  • request corrections;

  • restrict content;

  • restrict an offer;

  • require reverification;

  • administer Marketplace adjustments;

  • invalidate improper Affiliate attribution;

  • suspend participation; or

  • terminate access.

70. Platform Enforcement Is Not Government Enforcement

An FIA suspension, verification change, Marketplace decision or other platform action is not a governmental penalty or judicial ruling.

PART XXVIII — DISPUTES AND COMPLAINTS

71. Marketplace Transaction Issues

Eligible Marketplace transaction issues may be addressed through the Marketplace Buyer Protection & Resolution Policy.

72. Broader FIA Complaints

Broader complaints may be handled under the Dispute Resolution & Complaints Policy.

73. External Rights

FIA’s internal processes do not remove rights or remedies that applicable law does not permit to be waived.

PART XXIX — RELATED FIA DOCUMENTS

74. Core Policies

75. Marketplace Documents

Marketplace participants should also review:

76. Affiliate Documents

Affiliate participants should also review:

PART XXX — REPORTING AND CONTACT

77. Report Serious Abuse

Suspected fraud, impersonation, security concerns or other serious platform abuse may be reported through Report a Concern / Abuse.

78. Policy, Privacy and Legal Questions

Questions concerning FIA’s role, policies or legal framework may be submitted through Policy, Privacy & Legal Enquiry.

79. Trust Centre

FIA’s broader public trust and policy framework is available through the Trust Centre.

PART XXXI — FINAL ROLE SUMMARY

80. FIA May Play Different Roles

Depending on the interaction, Innovara Marketing Inc. operating FIA may act as:

  • platform operator;

  • business-information publisher;

  • verification administrator;

  • review platform;

  • sponsored editorial provider;

  • direct professional service provider;

  • first-party Marketplace Vendor;

  • Marketplace administrator;

  • Affiliate program operator;

  • Service Partner network operator; or

  • provider of other FIA services.

81. Independent Participants Remain Independent Where Applicable

An independent:

  • business;

  • Marketplace Seller;

  • Affiliate;

  • Service Partner; or

  • other participant

does not become owned or employed by Innovara merely through participation in FIA.

82. The Specific Relationship Controls

The most important question is:

Who is actually providing the relevant product, service or function?

Users should look to the applicable:

  • listing;

  • offer;

  • checkout;

  • order;

  • contract;

  • program terms;

  • policy; or

  • other transaction-specific information

to understand the role of FIA, Innovara and any independent participant.
