Legal Operator: Innovara Marketing Inc.
Brand: Find It All (FIA)
Document Owner: Innovara Marketing Inc. — Legal, Trust & Platform Operations

1. About These Terms

These Terms of Service govern access to and use of Find It All, including FIA websites, accounts, listings, business profiles, Marketplace features, reviews, Affiliate functionality, Business Stories, business resources, promotional services and other FIA products or services made available from time to time.

Find It All, or FIA, is owned, operated and managed by Innovara Marketing Inc.

By accessing or using FIA, creating an account, submitting information, purchasing an applicable service, completing an applicable electronic acceptance process or otherwise participating in an FIA feature that incorporates these Terms, you agree to the provisions that apply to your activity.

Additional terms may apply to particular FIA products, services, roles or transactions.

2. FIA’s Business Model

FIA is a Canada-first local discovery and business-growth platform designed to help people discover, connect with and transact with businesses while providing businesses with tools, visibility, services and growth opportunities.

FIA may provide or facilitate features including:

  • business listings;

  • business claims;

  • business verification;

  • reviews and ratings;

  • Business Stories;

  • Marketplace transactions;

  • professional growth services;

  • Affiliate programs;

  • Service Partner programs;

  • business resources;

  • advertising or visibility services;

  • sponsored or Featured Placement;

  • referrals;

  • CRM or communication functionality;

  • automation functionality; and

  • other approved platform services.

Not every feature is necessarily available to every user, category, location or account.

3. Legal Operator

Innovara Marketing Inc. is the legal operator of FIA.

References in these Terms to:

  • “FIA”

  • “Find It All”

  • “we”

  • “us”

  • “our”

refer to Innovara Marketing Inc. operating the Find It All brand and platform, unless the context clearly refers to a separate Marketplace Seller or other independent participant.

4. FIA Is Not a Government Authority

FIA is not:

  • a government department;

  • a regulator;

  • a court;

  • a universal licensing authority; or

  • a universal professional certification body.

FIA verification, moderation or approval processes should not be interpreted as governmental approval or a guarantee of future performance.

See Understanding Our Role.

PART I — ACCEPTANCE AND ELIGIBILITY

5. Acceptance of Terms

You may accept applicable FIA terms electronically through methods such as:

  • selecting a checkbox;

  • clicking an acceptance button;

  • submitting an application;

  • completing checkout;

  • signing electronically;

  • creating an applicable account; or

  • otherwise taking an action clearly identified as acceptance.

Where separate affirmative acceptance is required for a specific transaction or program, general use of the website does not replace that transaction-specific acceptance.

6. Legal Capacity

You may use FIA only where you are legally able to enter into the applicable relationship or where use is properly authorized by a person who has the required legal capacity.

7. Business Representatives

If you use FIA on behalf of:

  • a corporation;

  • partnership;

  • sole proprietorship;

  • organization;

  • Marketplace Seller;

  • Affiliate business; or

  • another entity,

you represent that you have appropriate authority to act for that entity where such authority is required.

8. Accurate Information

Information you submit to FIA must be materially accurate and not deliberately misleading.

You are responsible for updating material information where required by the applicable FIA feature or program.

PART II — ACCOUNTS

9. Account Responsibility

Where FIA provides account functionality, you are responsible for reasonable protection of your login credentials and account access.

10. Unauthorized Access

You must not:

  • access another user’s account without authority;

  • share access in a manner that creates material security risk;

  • impersonate another user;

  • bypass access restrictions; or

  • use compromised credentials.

11. Account Information

You are responsible for keeping applicable account information reasonably current.

12. Account Activity

You are generally responsible for activity carried out through your account where that activity was authorized by you or resulted from your failure to take reasonable account-security precautions.

This does not make you responsible for activity you did not authorize merely because it involved your information.

PART III — PLATFORM ROLES

13. Different FIA Relationships

A participant may interact with FIA in one or more roles, including:

  • visitor;

  • Buyer;

  • business owner;

  • business representative;

  • listing claimant;

  • reviewer;

  • Marketplace Seller;

  • Affiliate;

  • Service Partner;

  • Freelancer;

  • Independent Sales Contractor;

  • FIA service customer; or

  • other approved role.

Different terms may apply to different roles.

14. Roles Are Not Automatically Interchangeable

Participation in one FIA program does not automatically create another relationship.

For example:

  • Affiliate status does not automatically make someone an FIA employee;

  • Marketplace Seller status does not automatically make someone an Affiliate;

  • Service Partner status does not automatically create Seller status;

  • Affiliate status does not automatically create Freelancer/Sales Contractor status.

PART IV — BUSINESS LISTINGS

15. Business Listings

FIA may display business information obtained from:

  • businesses;

  • authorized representatives;

  • public sources;

  • third-party sources;

  • user submissions; or

  • other lawful sources.

16. Listing Accuracy

Businesses and representatives who submit or update information must make reasonable efforts to ensure it is accurate.

See Listing Terms & Accuracy Declaration.

17. Unclaimed Listings

A business listing may exist before a business owner or authorized representative claims it.

The existence of a listing does not by itself establish that the business has:

  • claimed the listing;

  • entered into a paid relationship with FIA;

  • been verified; or

  • endorsed FIA.

PART V — BUSINESS CLAIMS AND VERIFICATION

18. Business Claims

FIA may allow authorized persons to claim or manage a business presence.

Claiming a business may require verification.

See Claim & Ownership Verification Declaration.

19. Business Verification

FIA may perform verification designed to assess particular information relevant to a business or account.

See Business Verification Standards.

20. Verification Is Not a Guarantee

Verification does not guarantee:

  • quality;

  • legality of every future action;

  • professional competence;

  • financial condition;

  • customer satisfaction;

  • future performance; or

  • absence of future complaints.

21. Reverification

FIA may require re-verification where appropriate, including after material changes or integrity concerns.

PART VI — REVIEWS AND RATINGS

22. Reviews

FIA may allow users to submit reviews or ratings relating to genuine experiences.

23. Honest Reviews

Reviews must comply with the Reviews & Ratings Policy.

Users must not knowingly submit fabricated reviews.

24. Review Manipulation

Users must not manipulate review systems using practices such as:

  • fake accounts;

  • purchased reviews;

  • coordinated false reviews;

  • fabricated positive reviews;

  • fabricated negative reviews; or

  • retaliation against legitimate reviewers.

25. Moderation

FIA may moderate reviews in accordance with its applicable policies.

A negative review is not automatically removed merely because the reviewed business disagrees with it.

PART VII — USER CONTENT

26. User Content

Users may submit content such as:

  • business information;

  • text;

  • images;

  • videos;

  • reviews;

  • comments;

  • documents;

  • offers;

  • service descriptions; or

  • other materials.

27. Responsibility for Content

You remain responsible for content you submit or publish through FIA.

You must have the rights and authority necessary to provide that content.

28. Licence to Operate FIA

To the extent necessary to operate, display, distribute, host, format, moderate, promote and technically process content you provide to FIA, you grant Innovara Marketing Inc. a non-exclusive licence to use that content for those purposes, subject to applicable law and any more specific FIA terms governing the content.

This licence does not transfer ownership of your underlying intellectual property to Innovara.

29. Removal of Content

FIA may remove or restrict content that:

  • violates these Terms;

  • violates applicable FIA policies;

  • infringes rights;

  • presents material fraud or safety risk;

  • is unlawful; or

  • otherwise qualifies for removal under applicable platform rules.

PART VIII — INTELLECTUAL PROPERTY

30. FIA Intellectual Property

FIA branding, platform content, software, designs, logos, trademarks and other materials may be protected by intellectual-property rights.

31. Limited Use

Access to FIA does not transfer ownership of FIA intellectual property.

32. Third-Party Rights

Users must respect third-party intellectual-property rights.

See Copyright & Intellectual Property Policy.

PART IX — MARKETPLACE STRUCTURE

33. Marketplace

FIA may provide Marketplace functionality through which Buyers can purchase eligible products, services or digital deliverables.

34. Two Types of Marketplace Vendor

Marketplace offers may be supplied by:

34.1 Innovara Marketplace Vendor

Innovara Marketing Inc. may sell its own products or services through FIA as an identified:

Innovara Marketplace Vendor

Where Innovara is identified as the provider, Innovara is responsible for that offering.

34.2 Independent Marketplace Seller

Approved third-party businesses may sell through FIA as independent Marketplace Sellers or Vendors.

Independent Sellers remain separate businesses from Innovara Marketing Inc.

35. Seller Identification

The applicable Seller or provider should be identified through the relevant offer, order, checkout or transaction information.

36. FIA Is Not Always the Seller

Where an approved independent Marketplace Seller provides the offering, Innovara’s operation of FIA does not itself make Innovara the underlying Seller.

37. FIA Can Be the Seller

FIA must not be interpreted as “never a party” to a transaction.

Where Innovara Marketing Inc. is expressly identified as the provider, Innovara is the first-party Seller for that offering.

PART X — MARKETPLACE PURCHASES

38. Buyer Transaction Information

Marketplace checkout should provide applicable material transaction information before purchase, including where appropriate:

  • Seller/provider;

  • offering;

  • scope;

  • quantity;

  • price;

  • approved discounts;

  • applicable taxes;

  • mandatory charges;

  • total;

  • currency;

  • fulfilment information;

  • cancellation/refund information; and

  • applicable terms.

39. Opportunity to Review

Where required and technically applicable, Buyers should have an opportunity to review transaction information and correct material errors before completing a purchase.

40. Transaction Acceptance

FIA may record:

  • accepted terms;

  • policy versions;

  • order ID;

  • acceptance timestamp; and

  • other transaction evidence.

41. Marketplace Purchase Terms

Marketplace Buyers are also subject to the Marketplace Purchase Terms.

PART XI — SELLER RESPONSIBILITIES

42. Seller Standards

Independent Marketplace Sellers must comply with the Marketplace Seller Standards.

43. Seller Responsibility for Offers

Sellers are responsible for materially accurate descriptions of their products and services.

44. Seller Responsibility for Fulfilment

The Seller identified for an order is responsible for fulfilling the underlying product or service in accordance with the applicable transaction terms.

45. Licensing and Insurance

Where a category requires licences, permits, professional qualifications or insurance, the Seller remains responsible for satisfying applicable requirements.

Additional FIA requirements may apply.

PART XII — MARKETPLACE FEES

46. Standard Marketplace Vendor Fee

Unless another valid written Seller arrangement expressly provides otherwise, FIA’s standard Marketplace Vendor fee is:

15% of the qualifying transaction subtotal after approved discounts and before applicable sales taxes.

47. Standard Non-Affiliate Marketplace Transaction

For a standard qualifying independent Vendor sale that is not subject to the Affiliate Campaign:

  • FIA standard Marketplace fee: 15%

  • Vendor proceeds before other applicable adjustments: 85%

48. Seller-Side Fee

The standard Marketplace fee is a Seller/Vendor-side commercial charge.

It must not be converted into an undisclosed mandatory Buyer surcharge.

PART XIII — VENDOR AFFILIATE CAMPAIGN

49. Offer-Level Participation

An approved Vendor may opt a specific offer into FIA’s Affiliate Campaign where available and approved.

Participation is not automatically applied to every Vendor offer.

50. Affiliate Campaign Fee

Where:

  1. a specific offer is validly participating in FIA’s Affiliate Campaign; and

  2. a valid Affiliate-attributed qualifying sale occurs,

an additional:

15% Affiliate Campaign Fee

applies to that Vendor transaction.

51. Affiliate-Attributed Vendor Economics

Under the standard model:

  • standard Marketplace fee: 15%

  • Affiliate Campaign Fee: 15%

  • total FIA Vendor-side fees: 30%

  • Vendor proceeds before other applicable adjustments: 70%

unless another valid written Seller arrangement expressly provides otherwise.

52. Campaign Fee Is Not an Automatic Affiliate Pass-Through

The 15% Affiliate Campaign Fee is not a representation that the entire amount is paid to the Affiliate.

It may support:

  • Affiliate commission;

  • acquisition;

  • tracking;

  • program administration;

  • fraud controls;

  • campaign infrastructure; and

  • other Affiliate Campaign economics.

53. No Hidden Affiliate Buyer Surcharge

The Affiliate Campaign Fee must not be added to a Buyer as an undisclosed mandatory charge merely because the transaction is Affiliate-attributed.

PART XIV — AFFILIATE PROGRAM

54. Affiliate Program

Approved Affiliates may promote eligible FIA or Marketplace offers subject to the Affiliate Program Terms & Conditions.

55. Affiliate Is Not Seller

An Affiliate who refers a Buyer is not the underlying Seller merely because commission may arise.

56. Base Commission

The current standard Affiliate model provides:

4% Base Commission on Qualifying Sales

subject to the applicable Affiliate terms and transaction eligibility.

57. Tier Eligible Offers

Selected Affiliate Eligible offers may be designated:

Tier Eligible

and may be supplied by Innovara or approved independent Vendors.

58. Standard Affiliate Tiers

For each specific Tier Eligible offer, standard final commission rates are:

Tier-Finalized Sales for Same Specific Offer in Applicable MonthFinal Affiliate Rate
Below CAD $5,0005%
CAD $5,000–$14,999.9910%
CAD $15,000+15%

59. Base Is Included in the Final Tier

The 4% Base Commission is included in the final rate:

  • 5% = 4% base + 1% top-up;

  • 10% = 4% base + 6% top-up;

  • 15% = 4% base + 11% top-up.

It is not additive beyond those final rates.

60. Offer-Specific Tiers

Tier progress is ordinarily calculated separately for each specific Tier Eligible offer.

Different offers are not automatically combined, even when supplied by the same Vendor, unless FIA expressly creates an approved shared campaign or offer group.

61. Early Base Commission Withdrawal

Where FIA enables early withdrawal functionality, an Affiliate may be permitted to withdraw the available 4% Base Commission.

Doing so:

  • locks that transaction at 4%;

  • removes it from Tier Eligible treatment;

  • removes it from that offer’s tier-progress pool; and

  • eliminates any later tier top-up for that transaction.

62. Tier Finalization

A Tier Eligible transaction generally becomes Tier Finalized when:

  1. qualifying customer payment has settled;

  2. required delivery, completion or approved fulfilment milestone has occurred;

  3. the applicable ordinary Buyer issue window has passed;

  4. no unresolved material refund or dispute remains;

  5. the Affiliate has not withdrawn the transaction’s 4% Base Commission early; and

  6. the transaction otherwise remains eligible.

63. Tier Month

Tier Eligible sales count in the calendar month in which the applicable transaction becomes Tier Finalized.

64. Attribution

FIA’s current standard Affiliate attribution model uses:

  • a 24-hour protected referral window; and

  • first-valid-click attribution.

See Affiliate Tracking & Attribution Disclosure.

65. First-Sale Default

Unless an active offer expressly provides otherwise, the standard Affiliate model is first-sale-only for the applicable customer/offer relationship.

Repeat purchases, renewals and later purchases do not automatically create Affiliate commission.

PART XV — AFFILIATE PAYOUTS AND ADJUSTMENTS

66. No Standard CAD $50 Minimum

FIA does not apply a standard CAD $50 Affiliate payout minimum under the current standard program.

67. Finalized Payout

After applicable reconciliation, FIA pays the full approved finalized Affiliate balance to the selected payout method or account.

68. Commission Adjustments

Affiliate commission may be adjusted because of:

  • cancellation;

  • full refund;

  • partial refund;

  • chargeback;

  • payment reversal;

  • fraud;

  • artificial transactions;

  • attribution invalidation; or

  • other legitimate ineligibility.

69. Full Refund

A valid full refund or reversal may result in reversal of up to 100% of the corresponding Affiliate commission.

70. Partial Refund

A valid partial refund may result in proportional recalculation of:

  • Affiliate commission; and

  • qualifying tier volume.

71. Paid Commission

Commission may still be corrected after payout.

Where an Affiliate has received more commission than remains valid, FIA may record a Negative Affiliate Balance.

72. Recovery

Where contractually and legally permitted, a valid Negative Affiliate Balance may be recovered through:

  • future commission offsets;

  • future tier top-up offsets;

  • future payout offsets; or

  • repayment requests.

PART XVI — AFFILIATE PROMOTION

73. Disclosure

Affiliates must disclose material commercial connections where required.

See Affiliate Promotion & Disclosure Guidelines.

74. Accurate Promotion

Affiliates must not publish materially false claims about:

  • FIA;

  • Sellers;

  • products;

  • services;

  • discounts;

  • commissions;

  • income;

  • guarantees; or

  • Affiliate terms.

75. No Guaranteed Earnings

FIA does not guarantee Affiliate:

  • sales;

  • income;

  • commission;

  • tiers; or

  • business success.

PART XVII — AFFILIATE VS SALES CONTRACTOR

76. Separate Relationships

FIA Affiliates and FIA Freelancers/Independent Sales Contractors operate under separate models.

77. Affiliate

An Affiliate generally acts as a self-directed promoter or referrer.

78. Freelancer / Independent Sales Contractor

An FIA Freelancer or Independent Sales Contractor may perform active sales functions under separate documentation.

79. No Automatic Double Compensation

A transaction does not automatically qualify for both:

  • Affiliate commission; and

  • Freelancer/Sales Contractor compensation.

Any permitted overlap must be expressly authorized under the applicable compensation framework.

PART XVIII — MARKETPLACE FULFILMENT

80. Fulfilment

Marketplace order fulfilment is governed by the applicable offer and the Marketplace Order, Fulfilment, Cancellation & Refund Standard.

81. Physical Goods

Sellers of physical goods are responsible for appropriate fulfilment, subject to the applicable transaction terms.

82. Services

Service Sellers are responsible for materially performing the agreed service scope.

83. Digital Deliverables

Digital deliverables must be supplied according to the accepted transaction scope.

84. Evidence of Fulfilment

FIA may request relevant evidence of:

  • shipment;

  • delivery;

  • service completion;

  • digital delivery; or

  • other transaction milestones.

PART XIX — BUYER ISSUE WINDOWS

85. Services and Digital Deliverables

The ordinary FIA Marketplace problem/refund request window for completed services and digital deliverables is:

7 calendar days

from confirmed completion or delivery.

86. Physical Goods

The ordinary FIA Marketplace problem/refund request window for physical goods is:

14 calendar days

from confirmed delivery.

87. Wrong, Damaged or Missing Physical Goods

Wrong, visibly damaged, materially incomplete or missing physical items should be reported promptly and, where reasonably discoverable, ordinarily within:

7 calendar days

of confirmed delivery.

88. Not Absolute Legal Cut-Offs

These are ordinary FIA administrative Marketplace windows.

They do not eliminate valid rights relating to matters such as:

  • fraud;

  • unauthorized payment;

  • non-delivery;

  • latent defects not reasonably discoverable earlier;

  • applicable warranties;

  • mandatory statutory cancellation rights;

  • mandatory consumer protection rights; or

  • other non-waivable legal rights.

PART XX — BUYER PROTECTION, CANCELLATIONS AND REFUNDS

89. Buyer Protection

Eligible Marketplace concerns may be reviewed under the Marketplace Buyer Protection & Resolution Policy.

90. Cancellation

Cancellation rights may depend on:

  • the offering;

  • fulfilment status;

  • accepted terms;

  • committed costs;

  • customization;

  • applicable law; and

  • other circumstances.

91. Refunds

Refund eligibility is governed by applicable:

  • transaction terms;

  • FIA Marketplace policies;

  • warranty rights;

  • payment rules; and

  • law.

92. No Absolute No-Refund Rule

FIA does not use these Terms to eliminate a refund, cancellation or other remedy that cannot lawfully be waived.

PART XXI — PAYMENTS

93. Payment Processing

FIA may use third-party payment providers to process or facilitate transactions.

94. Payment Authorization

By submitting an applicable payment, you authorize processing of the amount presented for the transaction through the selected payment method.

95. Failed Payments

Transactions may be delayed, declined or cancelled where payment cannot be successfully authorized or completed.

96. Refund Processing

Approved refunds may be returned through the original or other appropriate payment method where feasible.

Actual posting time may depend on external financial institutions.

97. Payment Policy

Additional rules appear in the Payment, Billing, Refund & Payout Policy.

PART XXII — PRICING

98. Pricing Transparency

Prices and mandatory commercial charges should be presented transparently.

99. No Hidden Mandatory Seller Charges

Marketplace Sellers must not deliberately advertise an unattainable price and then add undisclosed mandatory Seller charges later in the transaction.

100. Taxes

Applicable government-imposed taxes may be added where required.

101. Discounts

Discount representations must not be materially false or misleading.

PART XXIII — TAXES

102. User Tax Responsibility

Users remain responsible for tax obligations legally applicable to them.

103. Marketplace Tax Administration

Depending on transaction structure and applicable requirements, taxes may be:

  • collected by a Seller;

  • administered through FIA;

  • processed through a payment provider; or

  • otherwise handled as legally required.

104. Platform Reporting

FIA may collect, verify, retain or report Seller information where required under applicable digital-platform reporting rules.

105. No Individual Tax Advice

FIA’s general tax or reporting information is not individualized tax advice.

PART XXIV — DIRECT FIA PRODUCTS AND SERVICES

106. FIA Services

Innovara may directly provide paid services through FIA, including approved business-growth, marketing, Business Story, promotional, visibility or related products.

107. Additional Service Terms

Direct FIA services may be governed by:

  • proposals;

  • service terms;

  • scopes;

  • order forms;

  • campaign schedules;

  • invoices; or

  • other accepted terms.

108. Business Stories

Business Story services may also be governed by the Business Story Service Terms and applicable consent documentation.

109. Boosts and Featured Placement

Marketplace Boosts, Featured Placement, Sponsored Visibility, category promotion and similar growth products are separate optional commercial products unless an applicable offer expressly states otherwise.

They are not automatically included merely because a Vendor participates in the Affiliate Campaign.

PART XXV — SERVICE PARTNERS

110. Service Partner Program

FIA may operate a Service Partner program subject to separate eligibility and participation requirements.

111. No Automatic Employment

Service Partner participation does not automatically create employment, partnership or ownership rights in FIA.

PART XXVI — ACCEPTABLE USE

112. Acceptable Use

Use of FIA is subject to the Acceptable Use Policy.

113. Prohibited Conduct

Users must not use FIA for conduct involving matters such as:

  • fraud;

  • impersonation;

  • malicious technical interference;

  • unlawful activity;

  • harassment;

  • review manipulation;

  • Marketplace manipulation;

  • Affiliate manipulation;

  • intellectual-property infringement;

  • privacy abuse; or

  • other prohibited activity.

PART XXVII — COMMUNITY STANDARDS

114. Community Guidelines

Participants must comply with the Community Guidelines.

115. Marketplace Integrity

Users must not fabricate:

  • transactions;

  • fulfilment;

  • reviews;

  • refunds;

  • Affiliate activity;

  • Tier Progress; or

  • other platform records.

PART XXVIII — PRIVACY

116. Personal Information

FIA’s collection, use and disclosure of personal information is governed by the Privacy Policy.

117. Cookies and Tracking

Use of cookies and similar technologies is described in the Cookie & Tracking Policy.

118. Affiliate Tracking

Affiliate attribution may use permitted tracking mechanisms.

Applicable privacy choices take priority over optional Affiliate tracking.

119. Seller Access to Buyer Information

A Seller’s access to Buyer information for fulfilment does not provide unrestricted permission for unrelated marketing.

PART XXIX — ELECTRONIC MARKETING

120. Commercial Messages

Users who send commercial electronic messages in connection with FIA remain responsible for complying with applicable requirements.

121. FIA Participation Is Not Marketing Consent

The fact that someone:

  • has an FIA account;

  • bought through FIA;

  • contacted a Seller;

  • appears in a transaction;

  • clicked an Affiliate link; or

  • otherwise interacted with FIA

does not automatically provide unrestricted consent to unrelated marketing.

PART XXX — AI

122. AI-Assisted Features and Content

FIA or its participants may use AI-assisted tools where appropriate.

123. Responsibility

Use of AI does not remove responsibility for:

  • accuracy;

  • lawful use;

  • disclosures;

  • intellectual-property compliance;

  • privacy; or

  • other applicable obligations.

124. No Fabricated AI Evidence

Users must not use AI to fabricate material:

  • reviews;

  • qualifications;

  • transactions;

  • delivery evidence;

  • endorsements;

  • customer experiences; or

  • business credentials.

See Responsible AI & AI Usage Disclosure.

PART XXXI — THIRD-PARTY SERVICES

125. Third-Party Providers

FIA may depend on third-party services, including:

  • payment processors;

  • hosting providers;

  • analytics providers;

  • communication services;

  • identity or verification tools;

  • mapping tools; or

  • other technology providers.

126. Third-Party Terms

Your use of a separate third-party service may also be subject to that provider’s terms.

127. External Availability

FIA does not control every interruption, decision or limitation of external third-party services.

PART XXXII — EXTERNAL LINKS

128. External Websites

FIA may contain links to third-party websites or resources.

129. External Content

Unless expressly stated otherwise, a link does not mean FIA controls or guarantees all content or practices of the external destination.

PART XXXIII — MODERATION AND ENFORCEMENT

130. FIA Review

FIA may review activity reasonably necessary to administer:

  • platform integrity;

  • Marketplace transactions;

  • reviews;

  • verification;

  • Affiliate attribution;

  • fraud controls;

  • complaints; or

  • policy compliance.

131. Enforcement Actions

Depending on the circumstances and applicable terms, FIA may:

  • request information;

  • require corrections;

  • remove content;

  • restrict listings;

  • restrict offers;

  • invalidate improper attribution;

  • reverse ineligible commissions;

  • require re-verification;

  • suspend functionality;

  • suspend accounts; or

  • terminate participation.

132. Serious Risk

FIA may apply an immediate temporary restriction where reasonably necessary to address serious:

  • fraud;

  • safety;

  • privacy;

  • security;

  • payment; or

  • Marketplace integrity concerns.

133. No Public Fraud Thresholds

FIA is not required to publish confidential:

  • fraud thresholds;

  • risk scores;

  • reserve formulas;

  • detection logic; or

  • internal security controls.

PART XXXIV — SUSPENSION AND TERMINATION

134. User Termination

Users may stop using FIA subject to:

  • outstanding transactions;

  • contractual obligations;

  • payment obligations;

  • recordkeeping requirements; and

  • other applicable terms.

135. FIA Suspension

FIA may suspend access where permitted under these Terms or an applicable role-specific agreement.

136. Termination

Material or repeated violations may result in termination of applicable FIA participation.

137. Outstanding Obligations Survive

Termination does not automatically eliminate:

  • amounts lawfully owing;

  • refunds;

  • chargebacks;

  • Affiliate clawbacks;

  • intellectual-property obligations;

  • confidentiality obligations where applicable;

  • dispute rights;

  • recordkeeping obligations; or

  • other provisions that by their nature continue after termination.

PART XXXV — DISCLAIMERS

138. Platform Availability

FIA aims to operate its platform responsibly but does not guarantee uninterrupted or error-free availability.

139. Business Information

FIA may display information provided by businesses, users or external sources.

FIA does not guarantee that every third-party statement will remain accurate at all times.

140. Independent Sellers

For independent Marketplace Seller transactions, FIA does not guarantee every Seller’s:

  • future performance;

  • quality;

  • suitability;

  • availability;

  • financial stability; or

  • legal compliance.

This does not limit obligations FIA itself has where Innovara is the identified provider.

141. No Guaranteed Business Results

FIA does not guarantee:

  • leads;

  • customers;

  • rankings;

  • sales;

  • business growth;

  • Marketplace revenue;

  • review ratings;

  • Affiliate income;

  • Affiliate tier achievement; or

  • return on investment.

142. Professional Advice

General FIA content is not a substitute for individualized:

  • legal;

  • tax;

  • accounting;

  • medical;

  • financial; or

  • other regulated professional advice

unless a qualified provider is expressly delivering that professional service.

PART XXXVI — LIMITATION OF LIABILITY

143. Application of This Section

To the maximum extent permitted by applicable law, liability relating to FIA is subject to the limitations in this Part.

Nothing in these Terms excludes liability or a remedy that applicable law does not permit to be excluded or limited.

144. Indirect Losses

To the extent legally permitted, Innovara is not liable for indirect, incidental, special or consequential loss merely arising from use of FIA where such liability may lawfully be limited.

145. Independent Seller Conduct

To the extent legally permitted and subject to any responsibilities Innovara independently owes, Innovara is not automatically responsible for every act or omission of an independent Marketplace Seller merely because the Seller uses FIA.

146. Innovara’s Own Conduct

Nothing in these Terms is intended to disclaim responsibility that Innovara cannot lawfully exclude for its own conduct, including where Innovara itself is the identified Seller or service provider.

147. Mandatory Consumer Rights

Any limitation of liability applies subject to mandatory consumer and other non-waivable legal rights.

PART XXXVII — INDEMNITY

148. Business and Commercial Participants

To the extent legally permitted, a business, Seller, Affiliate or other commercial participant may be responsible for losses, claims or reasonable costs caused by that participant’s:

  • unlawful conduct;

  • material breach of applicable FIA terms;

  • infringement of third-party rights;

  • fraudulent conduct; or

  • unauthorized representations,
